participation in this agreement; upon the adoption of a resolution to that effect by the party's governing body; and upon completion of their financial obligation outlined under section 9 (c) hereof. 3. Establishment and Membership of Joint Board of Authoritv. Under previous agreements, the parties established a joint board responsible for administering the joint dispatch center, known as "Red River Regional Dispatch Center Board of Authority", or such other name as is agreed upon by the voting members. Membership of the joint board shall consist of persons appointed by the governing bodies ofthe parties to this joint powers agreement as shown below: A. Fargo - two (2) members B. Moorhead - two (2) members C. Cass County - one (1) member D. Clay County - two (2) members* E. West Fargo - one (1) member *One Clay County appointee shall be one of the current police chiefs from Barnesville, Hawley, Dilworth or Glyndon, as appointed by the BOA. F-M Ambulance Services, Inc., a corporation, hereinafter called "F-M Ambulance Services", by consent of the governmental entities entering into this Joint Powers Agreement, shall be entitled to one (1) non-voting member on such joint board. All of the parties to this agreement agree to indemnify and hold F-M Ambulance Services, Inc. harmless from any claim, demand, or cause of action (including defense costs) that may be asserted as a result of said non-voting member's sitting on said joint board. 4. Powers and Authoritv of Joint Board of Authoritv. The joint board shall have the following powers: a. Within the limits of initial and annual budget, to construct, equip, maintain and manage the joint dispatch center. b. To adopt an annual budget which shall be subject to approval of the boards of the governmental entities entering into this agreement. c. To purchase and sell such supplies, equipment and other property as may be necessary for the operation of the joint dispatch center. d. To employ management personnel and such other employees, either permanent or temporary, as may be required, and to determine their duties, qualifications and compensation. e. To execute such contracts for management and operation ofthe joint dispatch center.
