WHEREAS, the parties wish to amend the agreement again for the purpose of using, owning and administering a regional Computer Aided Dispatch and Records Management System, hereinafter referred to as "CAD/RMS, for the benefit ofthe parties; and WHEREAS, The City of Fargo was awarded the Fiscal Year 2007 (FY2007) COPS Technology Grant, hereinafter "the Grant," for the Fargo Metropolitan Statistical Area for the purchase of a regional CAD/RMS, for the aforementioned agencies; and WHEREAS, The Grant requires local funding participation of 25% of the grant award; and WHEREAS, The City of Fargo, as Grant Recipient, is the fiscal and purchasing agent for the software acquisition and the funds coming from the Grant; and WHEREAS, the parties wish to amend the Joint Powers Agreement (Second Amended and Reconstituted) to: a) provide for the ownership of the equipment purchased with the Grant funds; b) purchase the necessary software; c) provide a new funding formula applicable to payment ofthe ongoing licensing fees and maintenance agreement fees associated with the new software; and d) implement the Grant requirements. NOW, THEREFORE, in consideration of the mutual promises and agreements contained herein, the parties do hereby agree as follows: Unless specifically provided herein, this Joint Powers Agreement shall amend and replace the Joint Powers Agreement effective January 1, 2008, and shall serve as the Third Amended and Reconstituted Joint Powers Agreement for the RRRDC. Nothing contained herein shall invalidate or nullify any actions taken prior to the effective date hereof. 1. Purpose. The purpose of this Joint Powers Agreement is to establish a framework that allows for the joint operation of 911/dispatch functions by the named parties. By combining the communications and dispatch of said parties, the parties will benefit by reducing and/or eliminating duplication of equipment and staff time. The goal of this agreement is to reduce the financial burden to the respective governments' taxpayers through the sharing of one communications center, as well as to improve communications services. The entity created hereunder shall be known as the Red River Regional Dispatch Center, referred to herein as "RRRDC." 2. Duration and Notice to Terminate. Recognizing that all original parties to the Joint Powers Agreement have contributed financially to the establishment and operation of RRRDC for more than five years, the parties hereby agree that West Fargo may not withdraw as a party from this Agreement until after December 31, 2012. Any party, other than West Fargo, may withdraw from participation in this Agreement upon giving written notice thereof to all parties at least one (1) year prior to the effective date upon which the party desires to terminate its
