<br />WHEREAS, the parties wish to amend the agreement again for the purpose of using, <br />owning and administering a regional Computer Aided Dispatch and Records Management <br />System, hereinafter referred to as "CAD/RMS, for the benefit ofthe parties; and <br /> <br />WHEREAS, The City of Fargo was awarded the Fiscal Year 2007 (FY2007) COPS <br />Technology Grant, hereinafter "the Grant," for the Fargo Metropolitan Statistical Area for the <br />purchase of a regional CAD/RMS, for the aforementioned agencies; and <br /> <br />WHEREAS, The Grant requires local funding participation of 25% of the grant award; <br /> <br />and <br /> <br />WHEREAS, The City of Fargo, as Grant Recipient, is the fiscal and purchasing agent for <br />the software acquisition and the funds coming from the Grant; and <br /> <br />WHEREAS, the parties wish to amend the Joint Powers Agreement (Second Amended <br />and Reconstituted) to: a) provide for the ownership of the equipment purchased with the Grant <br />funds; b) purchase the necessary software; c) provide a new funding formula applicable to <br />payment ofthe ongoing licensing fees and maintenance agreement fees associated with the new <br />software; and d) implement the Grant requirements. <br /> <br />NOW, THEREFORE, in consideration of the mutual promises and agreements contained herein, <br />the parties do hereby agree as follows: <br /> <br />Unless specifically provided herein, this Joint Powers Agreement shall amend and replace the <br />Joint Powers Agreement effective January 1, 2008, and shall serve as the Third Amended and <br />Reconstituted Joint Powers Agreement for the RRRDC. Nothing contained herein shall <br />invalidate or nullify any actions taken prior to the effective date hereof. <br /> <br />1. Purpose. The purpose of this Joint Powers Agreement is to establish a framework that <br />allows for the joint operation of 911/dispatch functions by the named parties. By combining the <br />communications and dispatch of said parties, the parties will benefit by reducing and/or <br />eliminating duplication of equipment and staff time. The goal of this agreement is to reduce the <br />financial burden to the respective governments' taxpayers through the sharing of one <br />communications center, as well as to improve communications services. <br /> <br />The entity created hereunder shall be known as the Red River Regional Dispatch Center, referred <br />to herein as "RRRDC." <br /> <br />2. Duration and Notice to Terminate. Recognizing that all original parties to the Joint <br />Powers Agreement have contributed financially to the establishment and operation of RRRDC <br />for more than five years, the parties hereby agree that West Fargo may not withdraw as a party <br />from this Agreement until after December 31, 2012. Any party, other than West Fargo, may <br />withdraw from participation in this Agreement upon giving written notice thereof to all parties at <br />least one (1) year prior to the effective date upon which the party desires to terminate its <br />
