<br />, <br /> <br />Newly elected officers shall assume office at the next board of directors meeting, following the election. <br /> <br />The secretary of this organization shall be appointed by the president with approval of the board of <br /> <br />directors and mayor may not be a member of the board of directors. <br /> <br />The treasurer of this organization shall be appointed by the president with approval of the board of <br /> <br />directors and may not be a member of the board of directors. <br /> <br />ARTICLE V. <br /> <br />The officers of this organization shall perform the duties usual to officers of any similar <br /> <br />organization. The treasurer shall, if required by the board of directors, furnish surety bond at the expense of <br /> <br />this organization in such sum as the board of directors shall determine. <br />ARTICLE VI. <br /> <br />This Constitution may be amended by a majority vote of members present at any legal annual or <br /> <br />regular meeting provided that such proposed amendment has been submitted to the members at a previous <br /> <br />annual or regular meeting. (Providing a quorum is present) at said meeting. <br />ARTICLE VII. <br /> <br />A quorum shall consist of (10%) of current paid members in good standing present in person. <br />BY-LAWS <br /> <br />Section I. MEETINGS. This organization shall meet in Casselton, North Dakota, regularly <br /> <br /> <br />once a month unless otherwise determined, at such time and place as the membership or its board of <br /> <br /> <br />directors shall decide. The annual meeting shall be held in the month of November at which time the <br /> <br />President and vice vresident shall be elected for a one vear term and the directors shall be elected for a <br /> <br />two-year term. Four directors are elected on alternate years. Elected officers and directors cannot serve <br /> <br />more than two consecutive terms in their respective positions. Special meetings may be called at any time <br /> <br />by the President or by a majority of the board of directors. <br /> <br />Section II. TERMS OF OFFICERS AND DIRECTORS. The President and Vice President shall <br /> <br />be elected for (one-year) terms and the "directors" shall be elected for (two-year) terms. Elected officers <br /> <br />and directors cannot serve more than two consecutive terms in their respective positions. The secretary and <br /> <br />treasurer shall be appointed by the president with the approval of the board of directors annually. The <br /> <br />treasurer shall not be a voting member of the board of directors. <br />
