<br />responsible for the remaining 20%, or $1,572.10. See Attachment A for overall project
<br />budget for a breakdown of the project budget. The funds provided by the CITY must be
<br />non-federal funds. It understood by the CITY and the COUNTY that in order to meet
<br />Federal requirements, the local match must pass-through the COUNTY to METRO
<br />COG.
<br />
<br />All costs charged to the project including any approved services, contributed by the
<br />Contractor or others, shall be supported by properly executed payrolls, time records,
<br />invoices, contracts, or vouchers evidencing in detail, the nature and propriety of the
<br />charges.
<br />
<br />Records: METRO COG shall maintain accounting and project records as per adopted
<br />procedure. Such records shall be made available to the CITY, COUNTY, and the
<br />state/federal government for inspection and audit during the agreement term and for
<br />three years after the expiration date of this agreement, unless any litigation, claim, or
<br />audit is started before the expiration of the three years, then the records shall be
<br />retained until such action is satisfied.

<br />Conflicts of Interest: No official or employee of METRO COG, a state, or any other
<br />governmental instrumentality who is authorized in his official capacity to negotiate,
<br />make, accept, or approve, or to take part in negotiating, making, accepting or approving
<br />any contract or subcontract in connection with a project shall have, directly or indirectly,
<br />any financial or other personal interest in any such contract or subcontract. No
<br />engineer, attorney, appraiser, inspector, or other person performing services for
<br />METRO COG, a state, or a governmental instrumentality in connection with a project
<br />shall have, directly or indirectly, a financial or other personal interest, other than his
<br />employment or retention by METRO COG, a state, or other governmental
<br />instrumentality, in any contract or subcontract in connection with such project. No
<br />officer or employee of such person retained by METRO COG, a state, or other
<br />governmental instrumentality shall have, directly or indirectly, any financial or other
<br />personal interest in any real property acquired for a project unless such interest is
<br />openly disclosed upon the public records of the METRO COG, the NDDOT or such
<br />other governmental instrumentality, and such officer, employee, or person has not
<br />participated in such acquisition for and in behalf of the state.
<br />
<br />Ownership/Publications: All work products of the METRO COG which result from this
<br />contract are the exclusive property of the METRO COG and its federal/state grantor
<br />agencies. The CITY and COUNTY may print or publish any documents, reports,
<br />records, data, resulting from this contract.
<br />
<br />Subcontractina: The METRO COG with prior approval from the CITY and COUNTY
<br />shall subcontract, as necessary to accomplish the contract objectives. .
<br />
<br />Assianments: METRO COG shall not assign nor transfer METRO COG's interest in
<br />this agreement without the express written consent of CITY or COUNTY.
