Termination: The right is reserved by either party to terminate this agreement with or without cause at any time upon 30-day written notice. METRO COG or its state/federal grantor agencies may terminate this agreement at any time if the CITY and COUNTY do not comply with the provisions of this agreement or its attachments. If METRO COG terminates this agreement, it reserves the right to take such action as it deems necessary and appropriate to protect the interests of METRO COG and its state/federal grantor agencies. Such action may include requiring the return of all or part of any funds that have already been expended. Amendments: The terms of this agreement shall not be waived, altered, modified, supplemented, or amended, in any manner whatsoever, except by written instrument signed by the parties. Waivers: The failure of the METRO COG or its state/federal grantors to enforce any provisions of this contract shall not constitute a waiver by the METRO COG or its state/federal grantors of that or any other provision. Notice: All notices, certificates, or other communications shall be sufficiently given when delivered or mailed, postage prepaid, to the parties at their respective places of business as set forth below or at a place designated hereafter in writing by the parties. Compliance with Federal Reaulations: The CITY and COUNTY are advised that his or her signature on this contract certifies that its jurisdiction will comply with all provisions of this agreement as well as applicable federal and state laws, regulations, and procedures. Meraer: This agreement constitutes the entire agreement between the parties. No waiver consent, modification or change of terms of this agreement shall bind any party unless in writing and signed by all parties. Such waiver, consent, modification, or change, if made, shall be effective only in the specific instance and for the specific purpose given.
