2. Emergency Management-license & lease agreements-budget adjustment

or damage to the Equipment in an amount not less than the full replacement value of the Equipment. County agrees to indemnify and hold F-M Ambulance, its officers, directors and employees harmless from and against any claims, demands, actions, causes of action, expenses, attorney's fees or damages of any kind or nature arising out. of the use of the equipment or participation by any first responder agencies in the System. County agrees to attempt to obtain similar indemnities directly with the first responder agencies using the System. In the absence of such direct indemnity, however, the indemnity language in this paragraph shall control so that the County shall indemnify F-M Ambulance from such claims. 7. TITLE. Title to the Equipment shall at all times remain in the name of the County, but this license, as granted to F-M Ambulance shall, until terminated, afford F-M Ambulance use of the Equipment. 8. ASSIGNMENT. Neither party shall assign its rights under tl1is license without the prior written consent of the other party. 9. SUPPLEMENTAL EQUIPMENT. Should any equipment be purchased in the future by either party or by the City of Fargo to be used with this System, such Equipment shall be described in an Addendum to this agreement. The County shall be solely responsible for the expense of any supplemental equipment or upgrades to existing Equipment being purchased under this Agreement. F-M Ambulance shall have sole discretion to determine whether to purchase supplemental equipment or upgrades to the existing Equipment in the future. 3
