<br />or damage to the Equipment in an amount not less than the full replacement value of <br />the Equipment. County agrees to indemnify and hold F-M Ambulance, its officers, <br />directors and employees harmless from and against any claims, demands, actions, <br />causes of action, expenses, attorney's fees or damages of any kind or nature arising out. <br />of the use of the equipment or participation by any first responder agencies in the <br />System. County agrees to attempt to obtain similar indemnities directly with the first <br />responder agencies using the System. In the absence of such direct indemnity, <br />however, the indemnity language in this paragraph shall control so that the County shall <br />indemnify F-M Ambulance from such claims. <br />7. TITLE. Title to the Equipment shall at all times remain in the name of the <br />County, but this license, as granted to F-M Ambulance shall, until terminated, afford F-M <br />Ambulance use of the Equipment. <br />8. ASSIGNMENT. Neither party shall assign its rights under tl1is license <br />without the prior written consent of the other party. <br />9. SUPPLEMENTAL EQUIPMENT. Should any equipment be purchased in <br />the future by either party or by the City of Fargo to be used with this System, such <br />Equipment shall be described in an Addendum to this agreement. The County shall be <br />solely responsible for the expense of any supplemental equipment or upgrades to <br />existing Equipment being purchased under this Agreement. F-M Ambulance shall have <br />sole discretion to determine whether to purchase supplemental equipment or upgrades <br />to the existing Equipment in the future. <br /> <br />3 <br />
