2. USE OF SYSTEM AND PROJECT SCOPE. The Equipment to' be purchased by County as described on Exhibit A will be used solely with the System, and may be used in conjunction with interoperable radio equipment previously purchased by the City of Fargo and administered by F-M Ambulance. 3. LICENSE FOR USE OF EQUIPMENT. For an indefinite period effective January 1, 2007, County hereby grants to F-M Ambulance a license for the purpose of administering and controlling all aspects of the System under F-M Ambulance's existing FCC license. Any change in responsibility for administration and control of the System shall be agreed to in writing between the parties. 4. REPAIR AND MAINTENANCE. F-M Ambulance will use the Equipment with due care and for the purpose for which it was intended. Although F-M Ambulance will administer and control the use of the Equipment, the County shall be solely responsible for the cost of maintenance and repair to the Equipment, including furnishing such parts and services as are necessary for such maintenance and repair. This service obligation shall include, but not be limited to, locating tower sites and negotiating and signing leases for those sites along with all attendant fees and lease payments to the site owner. 5. PAGING SERVICES. Paging services for any agencies benefiting from the use of the Equipment and System will be provided through the Red River Regional Dispatch Center. This section shall not apply to any agencies contracting directly with F-M Ambulance for paging services, now or in the future. 6. INSURANCE AND INDEMNITY. During the term of this agreement, County may, in its discretion, maintain physical damage insurance insuring against loss 2
