<br />2. USE OF SYSTEM AND PROJECT SCOPE. The Equipment to' be <br /> <br /> <br />purchased by County as described on Exhibit A will be used solely with the System, and <br /> <br /> <br />may be used in conjunction with interoperable radio equipment previously purchased by <br /> <br /> <br />the City of Fargo and administered by F-M Ambulance. <br /> <br /> <br />3. LICENSE FOR USE OF EQUIPMENT. For an indefinite period effective <br /> <br /> <br />January 1, 2007, County hereby grants to F-M Ambulance a license for the purpose of <br /> <br /> <br />administering and controlling all aspects of the System under F-M Ambulance's existing <br /> <br /> <br />FCC license. Any change in responsibility for administration and control of the System <br /> <br /> <br />shall be agreed to in writing between the parties. <br /> <br /> <br />4. REPAIR AND MAINTENANCE. F-M Ambulance will use the Equipment <br /> <br /> <br />with due care and for the purpose for which it was intended. Although F-M Ambulance <br /> <br /> <br />will administer and control the use of the Equipment, the County shall be solely <br /> <br /> <br />responsible for the cost of maintenance and repair to the Equipment, including <br /> <br /> <br />furnishing such parts and services as are necessary for such maintenance and repair. <br /> <br /> <br />This service obligation shall include, but not be limited to, locating tower sites and <br /> <br /> <br />negotiating and signing leases for those sites along with all attendant fees and lease <br /> <br /> <br />payments to the site owner. <br /> <br /> <br />5. PAGING SERVICES. Paging services for any agencies benefiting from <br /> <br /> <br />the use of the Equipment and System will be provided through the Red River Regional <br /> <br /> <br />Dispatch Center. This section shall not apply to any agencies contracting directly with <br /> <br /> <br />F-M Ambulance for paging services, now or in the future. <br /> <br /> <br />6. INSURANCE AND INDEMNITY. During the term of this agreement, <br /> <br /> <br />County may, in its discretion, maintain physical damage insurance insuring against loss <br /> <br />2 <br />
