<br />LICENSE AGREEMENT <br /> <br /> <br />THIS LICENSE AGREEMENT is made and entered into this day <br /> <br /> <br />of December, 2006, by and between Cass County, North Dakota, a governmental <br /> <br /> <br />organization ("County") and F-M Ambulance Service, Inc., a North Dakota corporation <br /> <br /> <br />("F-M Ambulance"). <br /> <br />RECITALS <br />WHEREAS, the City of Fargo and F-M Ambulance previously entered into a <br />License Agreement for the use of interoperable radiolpaging equipment ("Equipment") <br />to be utilized as part of a program operated and supervised by F-M Ambulance' as a <br />public safety paging system ("System"). <br />WHEREAS, the Equipment and System has proved to be effective and as a <br />result, the County now desires to expand the use of that Equipment and the System to <br />benefit various rural volunteer fire and ambulance services within the County. <br />WHEREAS, the County, through it's Emergency Management Program, has <br />obtained Federal Homeland Security Grant funding to purchase this additional <br />Equipment. <br />WHEREAS, the parties desire to set forth in writing their understanding as to the <br />purchase and usage of that Equipment under the System as more fully described <br />herein. <br /> <br />NOW, THEREFORE, it is hereby agreed by and between the parties as follows: <br /> <br /> <br />1. PURCHASE OF EQUIPMENT. County will purchase the Equipment to be <br /> <br /> <br />used with the System through a Federal Homeland Security Grant. The Equipment to <br /> <br /> <br />be purchased by the County is more fully described on Exhibit A attached hereto. <br />
