No rate adjustment shall be effective until a formal written modification to this Agreement is issued and signed by the DOCR. In no event shall rates be approved retroactively, ARTICLE IX - FINANCIAL PROVISIONS In consideration of the Contractor's satisfactory performance of services called for under this IGA, the DOCR shall reimburse the Contractor at the fixed rate indicated on Page 1 of the IGA. The rate covers one offender per person-day. The Contractor may bill the DOCR for the day the offender is admitted to the contract facility, but not for the day of discharge from the facility. The Contractor shall bill for services provided on a monthly basis. Monthly billings shall list each DOCR offender, the specific dates of confinement for each, and the total days to be reimbursed, the agreed upon rate per day and the total amount billed (total days multiplied by the rate per day). The DOCR will submit payment within 30 days of billing. The Contractor shall also take all reasonable steps to preserve all physical evidence and information which may be relevant to the circumstances surrounding a potential claim, while maintaining public safety, and grants to the state of North Dakota the opportunity to review and inspect the evidence, including the scene of an accident. ARTICLE XI-INDEMNITY The Contractor and the DOCR each agrees to assume its own liability for any and all claims of any nature including all costs, expenses and attorney's fees which may in any manner result from or arise out of this agreement. ARTICLE XII-INSURANCE The Contractor shall secure and keep in force during the term of this agreement, from an insurance company, government self-insurance pool or government self-retention fund authorized to do business in North Dakota, commercial general liability insurance with minimum limits of $250,000 per person and $500,000 per occurrence, The DOCR shall Page 4
