AGREEMENT THIS AGREEMENT, made and entered into by and between Clay County, Minnesota, a governmental entity, organized under the laws of the State of Minnesota, and Cass County, North Dakota, a governmental entity, organized under the laws of the State of North Dakota, WITNESSETH: WHEREAS, Clay County and Cass County desire to jointly construct and own and operate a bridge connecting the two counties, located approximately one mile north and two miles west of Moorhead, Minnesota on the Red River of the North; and WHEREAS, the parties hereto deem it expedient that they enter into an equitable agreement pertaining to the division of costs and responsibilities to be borne by each County for the construction and maintenance of such jointly owned bridge. NOW, THEREFORE, BE IT AGREED by County of Clay and the County ofCass as follows: 1. Construction engineering services for the joint bridge shall be performed by the Clay County Highway Department and Cass County shall reimburse Clay County for one-half the costs of the construction engineering for the bridge structure only. Construction engineering costs for the Minnesota grading portion of the project shall be entirely Clay County's responsibility and any Construction engineering costs for the North Dakota grading portion of the project shall be entirely Cass County's responsibility. 2. That Cass County, North Dakota, shall reimburse Clay County, Minnesota, on a 50-50 basis, for preliminary engineering and bridge design costs for the structure and appurtenances associated with said joint bridge. It is further agreed that each County will be responsible for preliminary engineering costs associated with the grading of the roadways in their respective Counties. 3. That the construction of said jointly owned bridge shall be pursuant to The Agreement between the Commissioner, Minnesota Department of Transpoliation, of the State ofMìnnesota, and the Director, North Dakota Department of Transportation, of the State of North Dakota, which provides for Clay County, Minnesota to award a construction contract and to cause construction of the bridge over the Red River, Minnesota Project BRaS 1403(180) and North Dakota Project BRU-8-984 (099) 102.
