<br />CAD/RMS
<br />SOFTWARE USE AGREEMENT
<br />
<br />This Agreement, is made and entered into effective the \ Stl- day of December, 2008, by
<br />and between THE CITY OF FARGO, NORTH DAKOTA, a municipal corporation, hereinafter
<br />referred to as "Fargo", THE CITY OF WEST FARGO, NORTH DAKOTA, a municipal
<br />corporation, hereinafter referred to as "West Fargo", THE CITY OF MOORHEAD,
<br />MINNESOTA, a Minnesota municipal corporation, hereinafter referred to as "Moorhead", THE
<br />COUNTY OF CASS, a corporate body and county under the laws of the State of North Dakota,
<br />hereinafter referred to as "Cass County", CLAY COUNTY, MINNESOTA, a corporate body
<br />and county under the laws of the State of Minnesota, hereinafter referred to as "Clay County", F-
<br />M AMBULANCE SERVICES, INC., a business corporation under the laws of the state of North
<br />Dakota, and the Red River Regional Dispatch Center, a joint powers entity, hereinafter referred
<br />to as "RRRDC".

<br />WITNESSETH:
<br />
<br />WHEREAS, Fargo, West Fargo, Moorhead, Clay County and Cass County have
<br />previously entered into a Joint Powers Agreement, establishing the RRRDC; and
<br />
<br />WHEREAS, the RRRDC provides dispatch services to the entities noted above; and
<br />
<br />WHEREAS, the RRRDC provides dispatch services to the entities noted above through
<br />the use of Computer Aided Dispatch software and Records Management software, hereinafter
<br />"CAD/RMS"; and
<br />
<br />WHEREAS, Fargo applied for and received the Fiscal Year 2007 (FY 2007) COPS
<br />Technology Grant, hereinafter "the Grant"; and
<br />
<br />WHEREAS, Fargo is the fiscal and purchasing agent for software, hardware and other
<br />related equipment, hereinafter "Software", purchased with funds from the Grant; and
<br />
<br />WHEREAS, as recipient ofthe Grant, Fargo desires to transfer the use of the Software
<br />acquired with Grant funds to the RRRDC; and
<br />
<br />WHEREAS, the parties desire to establish the terms and conditions upon which such use
<br />shall be given.
<br />
<br />NOW, THEREFORE, in consideration of the mutual promises and agreement contained
<br />herein, the parties to this Agreement agree as follows:
<br />
<br />1. Fargo grants to the RRRDC, and its members, the nonexclusive, nontransferable
<br />and non-assignable use of the Software Fargo acquires through the Grant.
