<br />· Computers used by MSUM Campus Police will be considered Moorhead <br />computers. <br />· Computers used by rural Cass County Police/Fire/EMS agencIes will be <br />considered Cass County computers. <br />· Computers used by rural Clay County Police/Fire/EMS agencIes will be <br />considered Clay County computers. <br />h) Severability. The intent of this paragraph is to provide for the implementation of the <br />Grant and it is intended to fully comply with all requirements thereof. If any provision of <br />this section (Section 9) is inconsistent therewith, the grant agreement shall control and all <br />other provisions of this section shall remain in full force and effect. <br /> <br />10. Fundine Sources. Applications for federal or state aid, as well as funds from other <br />public and private sources, may be applied for in the name of any of the governmental entities <br />provided that the other contracting governmental entities agree to the same. It is the intent of this <br />paragraph that the parties agree upon the most simple and expeditious process in applying for <br />said funds. All grants received shall be applied to reduce the cost of all parties, thus reducing <br />proportionately the budgeted amounts that may be required. <br /> <br />11. Liabilitv. The RRRDC shall secure insurance coverage against any liability that might <br />be incurred through performance of this agreement and operation of the joint dispatch center; <br />which, if available, shall include coverage for F - M Ambulance Services, Inc. relating to any <br />claims that may be asserted arising out ofF-M Ambulance Services' non-voting status of the <br />joint board established pursuant to the provision of this agreement. <br /> <br />a) Applicability. The RRRDC shall be considered a separate and distinct public <br />entity to which the Parties have transferred all responsibility and control for <br />actions taken pursuant to this Agreement. The RRRDC shall comply with all <br />laws and rules that govern a public entity in the States of Minnesota and North <br />Dakota and shall be entitled to the protections of the liability limitations contained <br />in relevant state law as applicable to a governmental entity. <br />b) Indemnification and Hold Harmless. The RRRDC shall fully defend, indemnify <br />and hold harmless the parties to this Agreement against all claims, losses, <br />liability, suits, judgments, costs and expenses by reason of the action or inaction <br />of the BOA and/or employees and/or the agents of the RRRDC. This Agreement <br />to indemnify and hold harmless does not constitute a waiver by any party to this <br />Agreement of limitations on liability provided under relevant liability limitation <br />statutes. <br /> <br />To the full extent permitted by law, actions by the parties pursuant to this Agreement are <br />intended to be and shall be construed as a "cooperative activity" and it is the intent of the Parties <br />that they shall be deemed a "single governmental unit" for the purpose ofliability. For purposes <br />of relevant joint powers statutes, each party to this Agreement expressly declines responsibility <br />for the acts or omissions of the other Parties. <br />
