<br />22. Surrender of Leased Premises. On or before the date upon which the term of this <br />Lease expires or is terminated, Tenant shall surrender the Leased Premises to <br />Landlord in good condition and remove all Tenant's Equipment therefrom. Any <br />property left in the Transmitter Building, on the Tower or at the Tower site by Tenant <br />after the expiration or termination of this Lease will be deemed abandoned by Tenant <br />and will be the property of Landlord to be disposed of as Landlord chooses. Any and <br />all expenses incurred from Landlord's removal of Tenant's Equipment shall be <br />payable by Tenant to Landlord within ten (10) days following request by Landlord for <br />such payment. <br /> <br />23. Breach. In the event of any failure of Tenant to perform any of the terms, conditions <br />or covenants of this Lease for more than 30 days after written notice of such failure <br />shall have been given to Tenant, or if Tenant shall become bankrupt or insolvent, then <br />in any such event Tenant shall be in default hereunder, and Landlord, in addition to <br />other rights or remedies it may have, shall have the immediate right to cancel this <br />Lease. Upon cancellation of this Lease by Landlord under this Section, Tenant shall <br />forfeit all payments made and shall forfeit all future lease rights to the Leased <br />Premises. In addition, Tenant shall remain liable to Landlord to pay all monies due <br />and owing Landlord for the period up to and including the date of written notice by <br />Landlord and for the next 30 days thereafter. <br /> <br />24. Relationship. Nothing shall create any association, partnership, joint venture or <br />relationship of principal and agent between the parties, it being understood that <br />Landlord and Tenant are, with respect to each other, independent contractors, and <br />neither party shall have any authority to bind the other or the other's representatives in <br />any way. <br /> <br />25. Notices. Colonel Glenn Ellingsberg <br />PO Box 488 <br />Fargo, ND 58107-0488 <br /> <br />The notices shall be in writing and directed to the addresses set forth above of the <br />parties, unless and until either or both of the parties advises in writing the other party of <br />any change of address to which the notices shall be sent. <br /> <br />26. Governing Law. This Lease and all matters or issues collateral to it shall be governed <br />by the laws of the State of North Dakota. Any dispute arising under this Lease shall <br />be litigated in the state or federal courts situated in Cass County, North Dakota, or <br />pursuant to the commercial arbitration rules of the American Arbitration Association. <br /> <br />7 <br />
