<br />THIS ASSIGNMENT, made this

<br />CASS COUNTY, a North Dakota political subdivision ("Grantor"), and Southeast Cass Water
<br />
<br />Resource District, a North Dakota political subdivision, whose post office address is is1201 Main
<br />
<br />Avenue West, West Fargo, North Dakota 58078-1301 ("Assignee").
<br />
<br />WHEREAS, Grantor owns certain easement rights regarding certain real property in Cass
<br />
<br />County, North Dakota, more fully described below, under that Easement dated August 31, 1976,
<br />
<br />recorded in the office of the Cass County Recorder, Cass County, North Dakota, on January 10,
<br />
<br />1977, at 2: 11 p.m., in Book G-7 of Deeds, Page 172, as Document Number 513062.
<br />
<br />WHEREAS, Grantor wishes to assign its interests in that certain real property, and in that
<br />
<br />Easement dated August 31, 1976, recorded in the office ofthe Cass County Recorder, Cass County,
<br />
<br />North Dakota, on January 10, 1977, at 2:11 p.m., in Book G-7 of Deeds, Page 172, as Document
<br />
<br />Number 513062, to Assignee.
<br />
<br />NOW, THEREFORE, in consideration ofthe sum of One Dollar ($1.00) and other good and
<br />
<br />valuable consideration, the receipt and sufficiency of which the parties acknowledge, Grantor hereby
<br />
<br />sells, assigns, transfers, conveys, and grants unto Assignee, its successors and assigns, all of
<br />
<br />Grantor's rights and interests in and to that certain Easement dated August 31, 1976, recorded in the
<br />
<br />office ofthe Cass County Recorder, Cass County, North Dakota, on January 10, 1977, at 2: 11 p.m.,
<br />
<br />in Book G-7 of Deeds, Page 172, as Document Number 513062, regarding certain real property in
<br />
<br />Cass County, North Dakota described as follows:

<br />A portion ofthe East one-half (EV2) of Section thirty-five (35), Twp. one hundred
<br />forty north (140 N), Rge. forty-nine west (49W), 5th P.M. described as the East
<br />62.5 feet of the West 100 feet of said East one-half of Section 35 bounded on the
<br />South by the northerly right-of-way of the Burlington Northern, Inc. Railroad and
<br />bounded on the North line of said Section 35, containing 5.738 acres more or less,
