<br />"Record Date" means the fifteenth (15th) day of the month (whether or not a Business Day) <br />prior to an Interest Payment Date. <br /> <br />"Repair and Replacement Fund" means the fund created by Section 5.4 hereofwhich shall <br />be entitled "Cass County Housing and Healthcare Facilities Revenue Bonds - Repair and <br />Replacement Fund (Bethany on 42nd Project)." <br /> <br />"Reserve Fund" means the fund created by Section 5.5 hereof which shall be entitled "Cass <br />County Housing and Healthcare Facilities Revenue Bonds - Reserve Fund (Bethany on 420d <br />Project). " <br /> <br />"Reserve Requirement" means for the Series 2008 Bonds $ and for any <br />Additional Bonds, an amount equal to the least of (i) 10% of the aggregate principal amount of the <br />Bonds, (ii) 125% ofthe average annual principal and interest due on the Bonds, or (iii) 100% ofthe <br />maximum annual debt service on the Bonds. <br /> <br />"Security" means the properties, rights, and interests of the Issuer defined in Section 3.1 and <br />assigned, granted and pledged as security for payment of the Bonds. <br /> <br />"Series 2008 Bonds" means the $23,705,000 principal amount of Cass County, North <br />Dakota, Housing and Healthcare Facilities Revenue Bonds (Bethany on 420d Project), Series 2008. <br /> <br />"Total Principal and Interest Requirements" means for any particular period of time the <br />sum of Principal and Interest Requirements on Outstanding Bonds, Principal and Interest <br />Requirements on Other Obligations and Principal and Interest Requirements on Alternative <br />Indebtedness for such period. <br /> <br />"Trustee" means Wells Fargo Bank, National Association, Minneapolis, Minnesota, and its <br />successors and any corporation resulting from or surviving any consolidation or merger to which it <br />or its successors may be a party and any successor trustee at the time serving as successor trustee <br />under this Indenture. <br /> <br />"Trustee's Address" means MAC: N931l-ll5, 625 Marquette Avenue, Minneapolis, <br />Minnesota 55479. <br /> <br />"Trustee's Certificate of Authentication" means the Certificate on each Bond to be <br />executed by the Trustee. <br /> <br />"Underwriter" means Dougherty & Company, LLC, Minneapolis, Minnesota. <br /> <br />"Underwriter's Address" means 90 South Seventh Street, Suite 4300, Minneapolis, <br />Minnesota 55402. <br /> <br />1-7 <br />
