<br />5. Utilities. Landlord shall make available to Tenant access to all essential public utility <br />services necessary to Tenant's operations that are available at the Site. Tenant agrees to pay any <br />and all charges for all connections or installations required by Tenant. All costs and charges for <br />use of such services are included in the annual rent paid by Tenant under this Lease. Tenant <br />shall furnish, keep and maintain all electrical boxes, switches, wiring, and any other units or <br />equipment necessary for the operation of Tenant's equipment or for connection to access power <br />lines and conduits provided by Landlord and/or power company, and that are necessary to <br />transmit and receive signals from Tenant's Antenna System. <br /> <br />6. Installation. All installation expenses of any nature whatsoever shall be the responsibility <br />of Ten ant. Tenant shall submit to Landlord for Landlord's approval, prior to installation thereof, <br />plans and specifications for its Antenna System, Transmitter Equipment and related equipment. <br />The Antenna System, Transmitter Equipment and related equipment shall be as described on <br />Exhibit A and Exhibit B hereto. All electrical wires and conduits to and from the Tower and to <br />and from the location of Tenant's equipment on said Tower shall be in such form, number and <br />size as will not interfere with the common use of the Tower, the Transmitter Building and the <br />Site. Tenant shall furnish the Antenna System, Transmitter Equipment, transmission lines, <br />mounting hardware, and such other and additional hardware or equipment necessary to the <br />installation. The installation of the equipment of Tenant must be performed at Tenant's expense <br />by Landlord or by a party specifically approved by Landlord for such installation. <br /> <br />7. Repairs. All equipment caused to be installed or brought upon the Site or in the <br />Transmitter Building by Tenant and related to its authorized activities, including but not limited <br />to transmitting equipment, transmitters, multiplexers, transmission lines connecting transmitting <br />equipment to the Antenna System, electrical lines and cables, and items related to the above shall <br />be repaired and maintained by Tenant at its sole expense. In the event such repair, maintenance <br />or additional installation is required, Tenant shall immediately notify Landlord of such <br />requirement. Unless an emergency exists, such notice shall be at least two (2) business days <br />prior to the date and time indicated by such notice as the time of commencement of repair, <br />maintenance or additional installation. Prior to commencement of such work, Tenant shall <br />deliver to Landlord specifications detailing the work to be performed in such detail as Landlord <br />may reasonably request. During the time period of repair, maintenance or installation, Landlord, <br />at its discretion, may require its agent, servant or employee to be present at all times at the <br />expense of Tenant. The hourly rate charged to Tenant shall be a competitive market rate. <br /> <br />8. Compliance with Laws. Tenant, its agents, representatives, and employees and any and all <br />other persons using Tenant's Antenna System and equipment for the transmission and receipt of <br />signals shall comply with all laws and governmental orders, rules and regulations respecting such <br />use or the occupation of the Tower, the Transmitter Building or the Site and shall hold Landlord <br />harmless from any responsibility or liability for the failure to so comply by Tenant, its agents, <br />representatives and employees and any and all other persons using Tenant's Antenna System and <br />equipment. Tenant's communications operation shall be conducted at all times in accordance with <br />the standards imposed by the FCC and any other governmental body with authority over such <br />operations. <br /> <br />DCOlDOCS323884.2 <br /> <br />3 <br />
