l 3, Establishment and Membership of Joint Board of Authority, Under pre ious agreements, the parties established a joint board responsible for administering the joint dis atch center, known as "Red River Regional Dispatch Center Board of Authority," or such other ~ame as is agreed upon by the voting members. Membership of the joint board shall consist ofpetsons appointed by the governing bodies of the parties to this joint powers agreement as shown beiow I A. Fargo - two (2) member(s) Moorhead - two (2) member(s) Cass County - one (1) member Clay County - one (1) member West Fargo - one (1) member B. C, D. E, F-M Ambulance Services, Inc" a corporation, hereinafter called "F-M Ambu ance Services", by consent of the governmental entities entering into this Joint Powers Agree ent, shall be entitled to one (1) non-voting member on such joint board, All of the parties t this agreement agree to indemnify and hold F-M Ambulance Services, Inc. harmless from any demand, or cause of action (including defense costs) that may be asserted as a result of said non- voting member's sitting on said joint board, 4. Powers and Authority of Joint Board of Authority, The joint board shall ha e the following powers: A. Within the limits of initial and annual budget, to construct, equip, maintain and manage the joint dispatch center, B. To adopt an annual budget which shall be subject to approval of the boards of the governmental entities entering into this agreement. C, To purchase and sell such supplies, equipment and other property as may be necessary for the operation ofthe joint dispatch center. D, To employ management personnel and such other employees, either permanent or temporary, as may be required, and to determine their duties, qualifications and compensation. E. To execute such contracts for management and operation of the joint dispatch center, F, To apply for and accept grants from any public or private entities which grants will be applied to reduce the cost of all parties, thus reducing proportionately the budgeted amounts that may be required, G.
