<br />PAGE 3 <br /> <br />B. If the Provider fails to perform any of the other provisions of this contract, or so fails to <br />pursue the work as to endanger performance of this contract in accordance with its terms, <br />and after receipt of written notice from the Coalition, fails to correct such failures within <br />10 days or such longer period that the Coalition may authorize. <br /> <br />The rights and remedies of the Coalition provided in the above clause related to defaults, <br />including breach of contract, by the Provider shall not be exclusive and are in addition to <br />any other right and remedies provided by law or under this contract. <br /> <br />VIII. ACCESS TO RECORDS: <br />The Coalition, CCSS, ND Department of Human Services, Office of Attorney General of the <br />State of North Dakota, the Federal Government, and their duly authorized representatives, shall <br />have access to the books, documents, paper and records of the Provider which are pertinent, as <br />determined by the Coalition, to this contract for the purpose of making audit, examination, <br />excerpts, and transcripts. <br /> <br />IX. RETENTION OF RECORDS: <br />The Provider agrees to retain records for a year and/or until they are relinquished to the <br />Coalition representative. <br /> <br />X. CONFIDENTIALITY: <br />The Provider will not, except upon the written consent of the recipients or their responsible <br />parent, guardian, or custodian, use or cause to be used any information concerning such <br />individual for any purpose not directly connected with the Coalition. <br /> <br />XI. ASSIGNMENT: <br />The Provider shall not assign this agreement. <br /> <br />XII. APPLICABLE LAW: <br />This agreement shall be governed by and construed in accordance with the laws of the State of <br />North Dakota. <br /> <br />XIII. CAPTIONS: <br />The captions or headings in this agreement are for convenience only and in no way defined, <br />limit, or describe the scope or intent of any provisions of this agreement. <br /> <br />XIV. EXECUTION AND COUNTERPARTS: <br />The agreement may be executed in several counterparts, each of which shall be an original, all <br />of which shall constitute but one of the same instrument. <br /> <br />XV. AMENDMENTS: <br />The terms of this agreement shall not be waived, altered, modified, supplemented, or amended, <br />in any manner whatsoever, except by written instrument signed by the parties. <br />
