  <br />39 <br />  Version Oct 13, 2022 <br />by termination at the instance of City of Fargo, the RRRDC Authority Board, or otherwise, then <br />in such event, pursuant to Section 5.09 of this Agreement, the RRRDC Authority Board may <br />appoint a Human Resources Agent. The Human Resources Agent is chosen by the RRRDC <br />Authority Board solely on the basis of cost, experience, and human resources management <br />qualifications. The Human Resources Agent is appointed by the RRRDC Authority Board for <br />an indefinite term and may be removed at any time by the RRRDC Authority Board. The <br />Human Resources Agent may be compensated by the Red River Regional Dispatch Center <br />Authority at a rate mutually agreed upon by the Red River Regional Dispatch Center Authority <br />and the Human Resources Agent. <br /> <br /> <br />Section 14.05 ADMINISTRATIVE ORGANIZATION. The RRRDC Authority Board may, <br />by resolution, establish Red River Regional Dispatch Center Authority departments, offices <br />and agencies and prescribe their functions. A power or duty conferred by this Agreement on an <br />office or agency may not be transferred by the RRRDC Authority Board to a different office or <br />agency. <br /> <br />Section 14.06 PURCHASES AND CONTRACTS. The Director is the chief purchasing agent <br />of the Red River Regional Dispatch Center Authority. Purchases and contracts are made by the <br />Director in accordance with procedures specified by RRRDC Authority Board resolution. The <br />Director may enter into a purchase or contract in an amount on behalf of the Red River Regional <br />Dispatch Center Authority that is in excess of such amount as determined by the Red River <br />Regional Dispatch Center Authority. Such purchase or contract amounts in excess of the <br />established authorized threshold require the approval by the RRRDC Authority Board. Other <br />contracts and bonds, instruments and documents to which the Red River Regional Dispatch <br />Center Authority is a party must be signed by the Chair and the Director on behalf of the Red <br />River Regional Dispatch Center Authority. The RRRDC Authority Board may, by resolution, <br />adopt additional regulations for making Red River Regional Dispatch Center Authority <br />contracts. Red River Regional Dispatch Center Authority contracts must be made in accordance <br />with law. <br />  <br />ARTICLE XV. <br />INSURANCE AND LIABILITY <br /> <br />Section 15.01 LIABILITY COVERAGE. To the fullest extent permitted by law, actions by <br />the Member Entities pursuant to this Agreement are intended to be and shall be construed as a <br />“cooperative activity” and it is the intent of the Member Entities that they shall be deemed a <br />“single governmental unit” for the purpose of liability. The Red River Regional Dispatch Center <br />Authority shall maintain liability coverage with the North Dakota Insurance Reserve Fund with a <br />minimum limit equal to the maximum liability limit in N.D.C.C. § 32-12.1-03 and/or Minn. Stat. <br />§ 466.04, Subdivision 1, whichever amount is greater. Alternatively, the Red River Regional <br />Dispatch Center Authority may maintain equivalent private liability coverage. Such policy may <br />be provided through a commercial general limited liability (“CGL”) policy. Such private liability <br />policies must comply with the following requirements: <br />
