  <br />14 <br />  Version Oct 13, 2022 <br />(g) Approval of the modification of a Section 12.04 or 12.05 population-based cost <br />allocation as recognized in Section 12.07. <br />(h) Dissolution of a standing committee, established by this Joint Powers Agreement. <br />(i) A decision by the RRRDC Authority Board, contemplated by Section 21.05, to <br />remove a Member Entity deemed to be in default of this Agreement pursuant to <br />Section 21.04 of this Agreement. <br /> <br />Section 5.10 RRRDC AUTHORITY BOARD MEMBER DISCLOSURE OF CONFLICTS OF <br />INTEREST. Before taking any action or casting a vote regarding a matter before the RRRDC <br />Authority Board, which would constitute a conflict of interest under North Dakota law or as set <br />forth in this Agreement, RRRDC Authority Board Member(s) must disclose such conflict(s) <br />and abstain from voting on the matter involving the conflict of interest and from participating in <br />RRRDC Authority Board discussions and deliberations on the matter involving the conflict of <br />interest. For purposes of this Agreement, conflicts of interest include, but are not limited to, all <br />conflicts of interest under North Dakota and/or Minnesota law and/or membership on a Governing <br />Body and/or status as a controlling officer, member of a board of directors, mayor, president, or <br />chief executive of a political subdivision, a public entity, and/or private entity engaged in a legal <br />or administrative action, pending litigation and/or active litigation in which the Red River <br />Regional Dispatch Center Authority is an adverse party. Any RRRDC Authority Board <br />Member with a conflict of interest shall not be entitled to participate in an executive session of <br />the RRRDC Authority Board held pursuant to Section 5.11. <br />  <br />Section 5.11 MEETINGS OF THE BOARD. The Red River Regional Dispatch Center <br />Authority shall hold meetings as follows: <br /> <br />(a) Organizational Meeting. An organizational meeting shall be held within thirty (30) <br />days of the Effective Date of this Agreement and shall be called at a time to be <br />determined by the Director. The Director shall ensure that proper notice of this <br />meeting is given. <br /> <br />(b) Regular Meetings. Thereafter, a schedule of regular meetings, which may include <br />one or more regular meetings each quarter of the year, shall be adopted at the <br />organizational meeting and thereafter each and every year at the Annual Meeting. <br />The RRRDC Authority Board may determine alternative times and dates for <br />regular meetings. <br /> <br />Annual Meeting. The RRRDC Authority Board shall hold its Annual Meeting <br />in January of each year at a time and date to be determined by the RRRDC <br />Authority Board. <br />(c) Special Meetings. Special meetings of the RRRDC Authority Board may be <br />called by the Chair and must be called by the Chair upon written request of three <br />(3) RRRDC Authority Board Members, who must identify the business matters <br />to be discussed at such special meeting. Business at a special meeting is limited to <br />matters contained in the notice of the special meeting. A special meeting may also
