It is the expectation <br />that the Vice Chair for a particular year elected by the RRRDC Authority Board will be the <br />following year’s Chair unless the Chair, from term to term, is from the same state (i.e. North <br />Dakota or Minnesota) for successive terms. <br /> <br />Section 5.08 SECRETARY. At the Annual Meeting of the Red River Regional <br />Dispatch Center Authority, the RRRDC Authority Board Members shall appoint a Secretary. <br />An employee of one of the Member Entities, an individual or contractor, may be appointed as the <br />Secretary for the Red River Regional Dispatch Center Authority. The Secretary shall be <br />responsible for ensuring that minutes are prepared for all Red River Regional Dispatch Center <br />Authority meetings. The Secretary shall also keep all books and records of the Red River <br />Regional Dispatch Center Authority and shall give all notices required by law, and may have <br />other duties assigned from time to time by the Red River Regional Dispatch Center Authority. <br />The Secretary shall also be responsible for compliance with North Dakota’s Open Records Law <br />requirements. <br /> <br />Section 5.09 VOTING BY THE BOARD. Each RRRDC Authority Board Member shall <br />have one (1) vote on matters before the Red River Regional Dispatch Center Authority. Each <br />RRRDC Authority Board Member shall cast a vote on all matters before the Red River <br />Regional Dispatch Center Authority unless the RRRDC Authority Board Member has a <br />conflict prohibiting him or her from casting a vote. All decisions before the Red River Regional <br />Dispatch Center Authority shall be determined by a simple majority vote of the RRRDC <br />Authority Board Members present except as set forth in this Section. RRRDC Authority Board <br />Members are not permitted to vote by proxy. A RRRDC Authority Board Member Alternate <br />will be seated as a RRRDC Authority Board Member when the Member Entity’s RRRDC <br />Authority Board Member is absent from a RRRDC Authority Board meeting. When seated <br />pursuant to this Section, RRRDC Authority Board Member Alternates will have the same <br />voting rights as regular RRRDC Authority Board Members. The following decisions require <br />that at least one (1) affirmative vote must be cast by a Minnesota Board Member, at least one <br />(1) affirmative vote must be cast by a North Dakota Board Member and, with respect to <br />decisions described in subparagraph (a), (b), (f), (g) or (i), at least one (1) affirmative vote <br />must be cast by a Cass County Member: <br /> <br />(a) Approval of the annual operations budget <br /> <br />(b) Approval of the annual capital budget. <br /> <br />(c) Hiring of a Director. <br /> <br />(d) Establish the authorized level or size of staffing of the Dispatch Center. <br /> <br />(e) Termination of the Director. <br /> <br />(f) Approval or modification of the methodology and finance plan developed pursuant <br />to Section 12.06 of this Agreement to allocate the costs associated with operating <br />the Dispatch Center.
