<br />Article III <br />Purchased Sen'ice Fees <br /> <br />3.1 Service Fees. For health services delinea1ed under this Agreement, fees due to FHC for services <br />provided to CCSD will be as determined by Exhibit I. <br /> <br />3.2 BiIlin!! and Payment Procedure. Billing and payment will occur In accordance with the <br />following terms: <br /> <br />3,2.1 All invoices for services rendered to CCSD will be sent to CCSD for payment; and <br /> <br />3.2.2 CCSD shall reimburse FHC within forty-five (45) days of receipt for accepted billings. <br /> <br />Article IV <br />Indemnification, Confidentiality, Healthcare Record Access, Equitable Relief and Survival <br /> <br />4.1 Indemnification, Each party agrees to indemnify and hold the other party hamlless from and <br />against all claims, causes of action, damages, loss, costs and expenses (including, but not limited <br />to, reasonable attorneys' fees) suffered or incurred by the other party and arising out of negligent <br />acts or omissions, willful misconduct or breach of this Agreement by the indemnifying party or <br />its officers, employees or agents. <br /> <br />4.2 Confidentiality. If agents of FHC or CCSD shall have access to or knowledge of information of <br />a confidential nature, including medical records and protected health infornlation. neither party <br />shall, directly or indirectly, disclose or use, or permit the disclosure or use of any such <br />information for purposes other than those necessary for the performance of Services rendered <br />pursuant to this Agreement. <br /> <br />4.3 Confidential Health Care Information. All health care information and/or data conceming <br />specific patients, (including, but not limited to, the identity of the patients, whether or not an <br />individual is a FHC patient or CCSD client, information about patient examinations, diaf,'11osis, <br />evaluation or treatment) relating to, derived from or obtained during the course of the duties <br />under this Agreement (collectively, "Confidential Health Care Information") shall be treated by <br />both parties to this agreement as confidential, and shall not be released, disclosed, or published to <br />any person or entity other than to such other persons or entities as are specifically designated by <br />an authorized officer of FHC or CCSD, or as otherwise expressly permitted under applicable law. <br /> <br />4.4 Access to Healthcare Records, All CCSD client healthcare records shall remain under the <br />ownership and control of CCSD and confidentiality of all records shall be the sole responsibility <br />of CCSD. Access to said records shall be granted to FHC providers and staff. <br /> <br />4.5 Equitable Relief. The parties agree that monetary damages would be inadequate to compensate <br />either party to this agreement in the event of a breach by either party of the covenants and <br />agreements set forth in this Article IV, Both parties agree and acknowledge that any such breach <br />of this Article IV would cause irreparable injury and would entitle the parties to obtain injunctive <br />or other equitable relief as may be proper and necessary against the threatened breach or <br />continued breach in a court of competent jurisdiction without the necessity of proving actual <br />damages, in addition to any other remedy available. <br /> <br />4.6 Survival. The obligations set forth shall survive the expiration or termination for any reason of <br />this Agreement <br /> <br />Page 4 or? <br />
