Cafeteria Plan Administrative Services Agreement This Cafeteria Plan Administrative Services Agreement ("Agreement") is entered into by Cass County Government / Personnel("Plan") and Discovery Benefits, Inc. ("DBI") as of the 1{3q4'' day of ~, , 2005 . RECITALS The Employer has adopted an Internal Revenue Code Sect:on 125 ("Cafeteria") Cafeteria Plan ("Plan") for its eligible employees. The Employer desires DBI to assist in the administration ¢ f the Plan, and DBI desires to assist the Employer in the administration of the Plan on the terms outlined below. Therefore, the Employer and DBI agree that DBI shall ass;st in thc administration of the Plan on the following terms: · The Employer has established thc Plan for the exclusive benefit of its employees. · Thc Employer is Administrator of the Plan. · DBI acts as agent on behalf of thc Employer. The Employer remains responsible for maintaining the Plan, including the establishment of eligibility and paying all benefits owed or established und:r thc Plan to its Participants; DBI is to provide the agreed upon services to the Plan, without assuming any liability beyond the performance of services as set forth below. Effective with the date of signing of this Agreement, the Employer effectively revokes its previous adoption of any Trust Agreement that served to held the Employer's Plan assets, but that Employer shall instead, unless otherwise provided for herein, shall otherwise assume all fiduciary or other responsibility for any funds kaat had been formerly held in Trust on the Employer's behalf. NOW THEREFORE, in consideration of good and valuable consideration; the parties agree as follows: Article I - Flexible Benefits Administrative Services Services provided by DBI in the administration of the Plan skall include the following: 1.1 Plan Administration. DBI shall assist the Em?loyer in the administration of the Plan as provided in this Agreement. DBI's duties with respect to the Plan shall be limited to those expressly provided in this Agreement or sul: sequently agreed to in writing by DB! and the Employer. 1.2 Plan Documents. DBI shall assist the Employer in thc establishment and operation of the Plan by providing sample documents for review by the Employer's legal counsel. Thc documents shall include applicable Plan Document(s), Summary Plan Description(s), election forms and other documents relating to the administration of the Administrative Services Agreement - October 2003 10.30.03
