ca-U ccw December 2006 PROJECT PROPOSAL: CASS COUNTY SHERIFF DEPARTMENT OF CORRECTIONS Fargo, North Dakota SOFTWARE LICENSE AGREEMENT This agreement is made and entered into this 2 t~ day of Decembeh 2006 between Correctional Corp of Wisconsin, Inc, (hereafter referred to as CCW) and Cass County Sheriff Department of Corrections, Fargo, North Dakota (hereafter referred to as the Client). Whereas the Client desires to obtain from CCW and CCW hereby (upon payment of a license fee), grants to the Client perpetual, non-assignable and non-transferable license to use CCW proprietary software known as KeePACCount™. Payment of the license fee is solely for the right to use the licensed software pursuant to the terms and conditions of this agreement and does not constitute the purchaser of the licensed software or of any title therein. License Conditions The Client reco.;Lnizes and accepts that aspects of the licensed software trademarked as KeePACCount are CCW trade secrets. These include, but are not limited to the following: System design logic flow, report formats and routines, search techniques, video screen displays, data entry techniques and reports generated. CCW recognizes and accepts that the Client retains ownership of all data in the database. The Client agrees and understands that it shall not use the software in any other correctional facility, and will limit its use to The Cass County Sheriff Department of Corrections, Fargo, North Dakota. Copyright: Restrictions on use and Transfer. The software and its documentation are protected by copyright, trade secret laws and international treaty provisions and the Client may not: copy, modify or transfer the software or its documents in part or in whole. The Client may not provide, disclose or in any way make available, the software or documentation or any portion thereof in any form, to any third party without written consent of CCW, The Client agrees to limit its use of the Software to: Computer work stations owned and/or operated by Cass County Corrections and other offices of the Cass County Sheriffs Department. Also that CCW shall indemnify the Client in full and hold the Client harmless for any claim relating to infringement of intellectual property rights.
