retains the right to conduct its own business as it sees fit. Nothing contained herein shall be interpreted or construed as precluding any SPONSOR or the CONTRACTOR from carrying out independent research directed toward the objectives of the Program. ARTICLE 10 - PUBLICITY RELEASES 10.01 SPONSOR shall coordinate in advance with CONTRACTOR on all Public TnfOlmation Releases to be issued by SPONSOR concerning this Program. Such releases shall not be issued without prior approval from CONTRACTOR. ARTICLE 11- WARRANTY 11.01 CONTRACTOR warrants that it has the right to conduct the Program and that its services hcreunder will be perfonned in a good, workerlike manner by qualified personnel and in accordance with generally accepted professional standards. All other WalTanties, express or implied. are hereby disclaimed. ARTICLE 12 - SUCCESSORS AND ASSIGNS 12.01 This Agreement shall be binding upon and inure to the benefit of the parties to this Agreement and their successors and permitted assigns; provided, however, that the rights and obligations of CONTRACTOR hereunder may not be assigned, by operation of law or otherwise, without the prior written consent of SPONSOR. Nothing in this paragraph shall prevent CONTRACTOR from employing such independent consultants, associates, and subcontractors as it may deem appropriate to assist it in the perfonnance of this Agreement. 12.02 Nothing herein shall be construed to gi ve any rights or benefits hereunder to anyone other than SPONSOR and CONTRACTOR. ARTICLE 13 - INDEMNIFICATION 13.0 I Each Party shall be responsible for claims. losses, damages. and expenses which are proximately caused by the negligence or wrongful acts or omissions of that Party, or its employees, agents, or representatives acting within the scope of their employment. The tort liability of the CONTRACTOR is subject to the limitations contained in chapter 32-12.2 of the North Dakota Century Code. Nothing herein shall preclude either Party from asserting against third parties any defenses to liability it may have under the law or be construed to create a basis for a claim or suit when none would otherwise exist. This provision shall survive the termination of this Agreement. ARTICLE 14 - GENERAL 14.01 This Agreement shall be interpreted and construed according to the laws of the state of North Dakota. 14.02 In the perfonnance of this Agreement, CONTRACTOR agrees to comply with Section 602 of the Civil Rights Act of 1964.
