<br />retains the right to conduct its own business as it sees fit. Nothing contained herein shall be <br />interpreted or construed as precluding any SPONSOR or the CONTRACTOR from carrying out <br />independent research directed toward the objectives of the Program. <br /> <br />ARTICLE 10 - PUBLICITY RELEASES <br /> <br />10.01 SPONSOR shall coordinate in advance with CONTRACTOR on all Public <br />TnfOlmation Releases to be issued by SPONSOR concerning this Program. Such releases shall <br />not be issued without prior approval from CONTRACTOR. <br /> <br />ARTICLE 11- WARRANTY <br /> <br />11.01 CONTRACTOR warrants that it has the right to conduct the Program and that its <br />services hcreunder will be perfonned in a good, workerlike manner by qualified personnel and in <br />accordance with generally accepted professional standards. All other WalTanties, express or <br />implied. are hereby disclaimed. <br /> <br />ARTICLE 12 - SUCCESSORS AND ASSIGNS <br /> <br />12.01 This Agreement shall be binding upon and inure to the benefit of the parties to this <br />Agreement and their successors and permitted assigns; provided, however, that the rights and <br />obligations of CONTRACTOR hereunder may not be assigned, by operation of law or otherwise, <br />without the prior written consent of SPONSOR. Nothing in this paragraph shall prevent <br />CONTRACTOR from employing such independent consultants, associates, and subcontractors as <br />it may deem appropriate to assist it in the perfonnance of this Agreement. <br /> <br />12.02 Nothing herein shall be construed to gi ve any rights or benefits hereunder to anyone <br />other than SPONSOR and CONTRACTOR. <br /> <br />ARTICLE 13 - INDEMNIFICATION <br /> <br />13.0 I Each Party shall be responsible for claims. losses, damages. and expenses which are <br />proximately caused by the negligence or wrongful acts or omissions of that Party, or its <br />employees, agents, or representatives acting within the scope of their employment. The tort <br />liability of the CONTRACTOR is subject to the limitations contained in chapter 32-12.2 of the <br />North Dakota Century Code. Nothing herein shall preclude either Party from asserting against <br />third parties any defenses to liability it may have under the law or be construed to create a basis <br />for a claim or suit when none would otherwise exist. This provision shall survive the termination <br />of this Agreement. <br /> <br />ARTICLE 14 - GENERAL <br /> <br />14.01 This Agreement shall be interpreted and construed according to the laws of the state <br />of North Dakota. <br /> <br />14.02 In the perfonnance of this Agreement, CONTRACTOR agrees to comply with <br />Section 602 of the Civil Rights Act of 1964.
