TECHNICAL SUPPORT SERVICES AGREEMENT THIS TECHNICAL SUPPORT SERVICES AGREEMENT (Agreement) is made and . entered into this i:1J!!.... day of ffdhU (Hit ,~ by and between Cass County (County) and North Dakota Association of Counties, nc., a North Dakota nonprofit corporation (NDACo). WHEREAS, County has determined that it and the government agencies it serves have a need for the technical support services referred to in the paragraph below entitled "Scope of . Services" and that these services form an appropriate basis for the expenditure of funds; and WHEREAS, NDACo proposes to provide those services; NOW, THEREFORE,in consideration of the mutualundertakings and proI<:lises hereinafter set forth, the parties hereby agree as follows: I. TERM OF AGREEMENT The term of this Agreement shall be from January 2006 through December 2006; however, this Agreement will be automatically renewed for successive terms of equal duration unless either party provides a written notice oftermination to the other party at least 30 days before the current tenn is due to expire. II. SCOPE OF SERVICES NDACo shall assist County in operating and maintaining its management information and data communication systems as follows: A. NDACo will provide County with planning assistance, technical and administrative support, training and other onsite and offsite consulting services as set forth in the Compensation Schedule attached hereto as Exhibit A. B. NDACo will provide reasonable help desk support to County. County shall cooperate with NDACo in its performance of the foregojng services, and shall make readily and promptly available all information, equipment and County personnel necessary for NDACo to perform such services. III. COMPENSATION County agrees to pay to NDACo the amount set forth in the Compensation Schedule attached hereto as Exhibit A, IV, AUTHORITY TO CONTRACT NDACo shall be authorized to purchase, on behalf of County and at County's cost, all hardware, software and other equipment requested or approved by County, and to sign, on behalf of County and in County's name, any purchase agreements, license agreements or other documents necessary or advisable to acquire such equipment; otherwise, NDACo shall not have the authority to contract or incur obligations (1m behalf of County, except with the express written consent of County. County authorizes, if appropriate, virtual private network (VPN) access to County's local area network (LAN) for the purposes of support and troubleshooting of the IT infrastructure that the NDACo supports through this contract. This VPN access will be granted to the NDACo by the Information Technology Department (lID) of the State of North Dakota for the purposes of support and troubleshooting of the county IT infrastructure that is covered under this agreement.
