<br />GEOGRAPHIC INFORMATION SYSTEMS (GIS) AGREEMENT <br /> <br />THIS AGREEMENT is made between City of West Fargo, North Dakota (hereafter "City") and <br />the Cass County Government, North Dakota (hereafter "County"). <br /> <br />WHEREAS, the City has committed to implement a geographic information system (hereafter <br />"GIS") and parcel mapping system for the City, that such a system will need regular updating <br />and ongoing maintenance and the City does not currently have sufficient staff for such updating; <br /> <br />WHEREAS, the County has made a similar commitment towards GIS and currently maintains a <br />staff to update their system; <br /> <br />WHEREAS, the County represents that it is duly qualified and willing to perform the updating <br />services and duties for the City set forth herein; <br /> <br />NOW THEREFORE, in consideration ofthe mutual covenants and promises contained herein, <br />the City and County agree as follows: <br /> <br />1. Term of Agreement: This Agreement shall be effective on January 1 S\ 2006 and shall <br />automatically renew on December 31 of each year under the contract, unless either party <br />serves notice 120 days before the end of the contract period. <br /> <br />2. Scope of Service: <br /> <br />1. County'S Duties: To provide GIS parcel map updating services as more fully <br />outlined in Appendix A to this Agreement. <br /> <br />2. City's Duties: To provide the information, and assistance outlined in Appendix A, <br />provide temporary working area and network connection when onsite and the <br />payments outlined herein, to the County. <br /> <br />3. Consideration and Terms of Payment: <br /> <br />1. Amount ofPavrnent(s): The City shall pay the County the sum of $20.311.00 for <br />the herein described services for term of this Agreement in 2006, contract amount <br />will be adjusted each year based on the cost ofliving increase (COLA) approved <br />for all employees of the county and by anticipated step increases for the position <br />covered under this contract. <br /> <br />2. Terms ofPayment(s): The City shall pay the County Yz of the contracted amount <br />(plus annual adjustments described above) by July 1 and again by December 31 of <br />each year under the contract. <br /> <br />3. Conditions ofPayment(s): All services provided by the County pursuant to this <br />Agreement shall be performed to the satisfaction of the City and in accordance <br />with all applicable federal, state and local laws, ordinances, rules and regulations. <br />
