5. Term. The term of this Contract shall be for the calendar year 2006. This Agreement may be renewed for the year 2007 and subsequent years in the event both parties mutually agree in writing. 6. Independent Contractor Status. Nothing in this Contract shall constitute either party hereto, the agent for the other party for any purpose. GFMEDC shall be deemed to be an independent contractor with full control over the manner and method of its performance hereunder. No part of this Contract shall be construed to create an employer-employee relationship. The GFMEDC, its officers, employees, agents and representatives are not employees of the County for all purposes including, but not limited to, the application of the Social Security Act, the Fair Labor Standards Act, the Federal Insurance Contribution Act, the Federal Unemployment Act, the North Dakota Unemployment Compensation Law and the North Dakota Workers' Compensation Act. The GFMEDC shall be responsible for, among other things, any federal or state taxes applicable to any payments under this Contract. 7. Indemnity. GFMEDC shall comply with all federal, state and local laws and ordinances applicable to the work to be conducted pursuant to this Contract. GFMEDC agrees to indemnify, save and hold harmless the County, its officers, agents and employees, from all claims, suits or actions of whatever nature resulting from or arising out of the activities of GFMEDC, or its officers, agents or employees under this Contract.
