<br />In each of the above, NORDICK's responsibility to repair or replace shall not apply to <br />damages caused by TENANT's carelessness, negligence or intentional acts. <br /> <br />13. Damaae. Destruction. or Condemnation If a material and substantial <br />portion of the PROPERTY shall be damaged, destroyed or condemned during the term <br />of this lease, NORDICK shall have no obligation to repair or restore the PROPERTY. <br /> <br />14. Assianment or Sublease TENANT shall not assign or convey this lease <br />or its rights to the PROPERTY hereunder. However, TENANT may sublease all or a <br />portion of the PROPERTY provided TENANT notifies NORDICK of such sublease and <br />affirms its obligation to remain primarily responsible to perform all covenants and <br />conditions of this lease. <br /> <br />15. Termination This lease shall terminate prior to expiration upon the first to <br />occur of the following events: <br /> <br />A. Material and substantial destruction or condemnation of the PROPERTY <br />for which NORDICK elects not to repair or restore; or <br /> <br />B. TENANT's failure to cure a material breach of this lease within ten days <br />of notice from NORDICK. <br /> <br />16. Waiver One or more waiver of any provision of this lease by NORDICK shall <br />not be construed as a waiver of subsequent breaches of the same provision and <br />NORDICK's consent or approval shall not be deemed to waive or render unnecessary <br />NORDICK's consent to, or approval of any subsequent similar act by TENANT. <br /> <br />17. Notices Any and all notices or demands required or permitted to be given <br />hereunder shall be deemed to be properly served if sent by registered or certified mail, <br />postage prepaid, addressed as follows: <br /> <br />NORDICK: The Nordick Group, Inc. <br />675 12th Avenue North <br />West Fargo, ND 58078 <br /> <br />TENANT: <br /> <br />Cass County Auditor <br /> <br />Fargo, ND <br /> <br />18. No Other Aareements This lease contains the entire understanding and <br />agreement of the parties, supersedes all prior understandings and agreements and <br />cannot be changed orally. <br />
