9.0 <br /> <br />Nondiscrimination <br /> <br />During the performance of this Agreement, Consultant and its subcontractors shall <br />comply with Federal and State nondiscrimination statutes and regulations. <br /> <br />10.0 <br /> <br />Remedies <br /> <br />Any remedy provided for breach of the Agreement shall not be deemed exclusive, and <br />Client and Consultant have such other remedies as may be available at law or in equity. <br /> <br />11.0 <br /> <br />Waiver <br /> <br />No waiver by Client or Consultant of any breach by Consultant or Client of any provision <br />hereof shall have any force or effect unless in writing, nor shall any waiver by a party <br />hereto of any breach be construed as a waiver of any other future default or breach of the <br />same provision or any other provision. <br /> <br />12.0 <br /> <br />Legal Relations <br /> <br />Each party to this Agreement shall be responsible for damage to persons or property <br />resulting from the negligence on the part of itself, its employees, subcontractors, its <br />agents, or its officers. Neither party assumes any responsibility to the other party for the <br />consequences of any act or omission of any person, firm, or corporation not a party to this <br />Agreement. <br /> <br />13.0 <br /> <br />Professional Liability Insurance <br /> <br />The Consultant has Professional Liability Insurance with coverage limits of $1 million <br />per incident up to 2 incidents per year for a total of $2 million. Consultant shall furnish <br />Certificate of Insurance evidencing this coverage upon request. Consultant shall give <br />Client at least ten days written notice prior to any reduction or cancellation of coverage, <br />and failure to give such notice will be considered a default by the Consultant. <br /> <br />14.0 <br /> <br />Miscellaneous <br /> <br />14.1 <br /> <br />No Assignment. Consultant shall not assign their rights or obligations under this <br />Agreement without the prior written agreement of Client. <br /> <br />14.2 <br /> <br />Ownership of Documents. All documents, records, and reports generated as a <br />result of the Scope of Work described in this Agreement shall become the <br />property of Client upon termination of this Agreement for any reason. <br /> <br />Page 3 of 4 <br /> <br /> <br />
