exempt"). Grant Partner shall use the funds as required herein in support of the Dakota Medical Foundation's exempt purposes. B. Grant Partner shall notify Dakota Medical Foundation and Dakota Medical Charities immediately if there is any pending or actual change in the Grant Partner's tax status. III. GRANT PERIOD, TERMINATION AND REPAYMENT A. Grant Period. The grant period is July 1, 2003 through June 30, 2004, subject to the conditions described in this agreement. B. Termination. This Agreement shall automatically terminate upon expiration of the grant period; provided that all obligations which are by their nature continuing, including without limitation Sections II(B), III(C), IV, V and VI (A) though (C), shall survive any expiration or termination of this Agreement. This Agreement may be terminated by Dakota Medical Foundation or Dakota Medical Charities at any time upon written notice to Grant Partner for any reason, including but not limited to: 1) Dakota Medical Foundation or Dakota Medical Charities is not satisfied, in its sole discretion, with the performance of the project, Grant Partner's financial status, organizational structure or management team members, or 2) Grant Partner fails to comply with one or more conditions of this Agreement. If this Agreement is terminated prior to the scheduled completion of the project, as described in the Grant Application, the Grant Partner shall provide Dakota Medical Foundation or Dakota Medical Charities with a full accounting of the grant amount, including without limitation, a description of all expenses relating to the project and receipts for grant funds expended. C. Repavment. 1. After the expiration of the final grant period, all allocated grant funds which have not been expended or for which expenditures have not been committed by executed contract or purchase order shall revert to Dakota Medical Foundation, and Grant Partner shall repay such amounts within 30 days after expiration of the grant period. 2. Within 30 days after demand by Dakota Medical Foundation or Dakota Medical Charities, Grant Partner shall repay to Dakota Medical Foundation or Dakota Medical Charities, as applicable, the amount requested to be repaid, including any interest earned thereon, in the event that Dakota Medical Foundation or Dakota Medical Charities, in their sole discretion, determines that the Grant Partner: a. has violated the terms of the Grant Application or this Grant Agreement or prior Grant Applications or Grant Agreements; or b. has made an unauthorized use of grant funds; or c. has changed the purpose of the project, failed to conduct the specified project within the time frame set forth, or within the budget parameters set forth; or d. has changed its charitable purposes, or has ceased to be exempt under Section 501 (c)(3) of the Code, or has ceased to be a public charity or operation foundation as described in Sections 509 and 4942 of the Code, respectively. IV. ACCOUNTING A. Accounts and Records. Grant Partner shall establish and maintain accurate and complete accounts and financial and other records, including but not limited to, bills, invoices, cancelled checks and receipts that relate to the receipt and expenditure of any and all grant funds for the project as set forth in the Grant Application, so that they adequately show the use of the grant funds exclusively for the purposes described in the Grant Application. 2
