<br />1/1. GRANT PERIOD, TERMINATION AND REPAYMENT <br /> <br />A. Grant Period. The grant period shall commence on the Effective Date of this Agreement and <br />shall be in force and effect through December 31, 2003 or until the completion of the project as <br />specified in the Grant Application. <br /> <br />B. Termination. This Agreement shall automatically terminate upon expiration of the grant period; <br />provided that all obligations which are by their nature continuing, including without limitation <br />Sections II(B), III(C), IV, V and VI (A) though (C), shall survive any expiration or termination of <br />this Agreement. This Agreement may be terminated by the Foundation at any time upon written <br />notice to Grantee for any reason, including but not limited to: 1) The Foundation is not satisfied, <br />in its sole discretion, with the performance of the project, Grantee's financial status, <br />organizational structure or management team members, or 2) Grantee fails to comply with one <br />or more conditions of this Agreement. If this Agreement is terminated prior to the scheduled <br />completion of the project, as described in the Grant Application, the Grantee shall provide the <br />Foundation with a full accounting of the grant amount, including without limitation, a description <br />of all expenses relating to the project and receipts for grant funds expended. <br /> <br />C. Repavment. <br /> <br />1. After the expiration of the final grant period, all allocated grant funds which have not been <br />expended or for which expenditures have not been committed by executed contract or <br />purchase order shall revert to the Foundation, and Grantee shall repay such amounts within <br />30 days after expiration of the grant period. <br /> <br />2. Within 30 days after demand by the Foundation, Grantee shall repay to the Foundation the <br />amount requested to be repaid, including any interest earned thereon, in the event that the <br />Foundation, in its sole discretion, determines that the Grantee: <br /> <br />a. has violated the terms of the Grant Application or this Grant Agreement or prior Grant <br />Applications or Grant Agreements; or <br /> <br />b. has made an unauthorized use of grant funds; or <br /> <br />c. has changed the purpose of the project, failed to conduct the specified project <br />within the time frame set forth, or within the budget parameters set forth; or <br /> <br />d. has changed its charitable purposes, or has ceased to be exempt under Section <br />501 (c)(3) of the Code, or has ceased to be a public charity or operation foundation as <br />described in Sections 509 and 4942 of the Code, respectively. <br /> <br />IV. ACCOUNTING <br /> <br />A. Accounts and Records. Grantee shall establish and maintain accurate and complete accounts <br />and financial and other records in relation to the receipt and expenditure of any and all grant <br />funds for the project as set forth in the Grant Application, so that they adequately show the use <br />of the grant funds exclusively for the purposes described in the Grant Application. <br />These project accounts and records shall be retained by the Grantee from the Effective Date of <br />this Agreement and for at least three (3) years following the completion of the grant project <br />period. <br /> <br />B. Audit. The project accounts and records of the Grantee shall be audited in the same manner as <br />all other accounts and records of the Grantee are audited. The Grantee's project accounts and <br />records (including but not limited to accounts and records relating to the project) may be audited <br />and/or inspected on the Grantee's premises or otherwise by individuals or organizations <br />designated and authorized by the Foundation at any time during the period specified in Section <br />III(A) above and within three years thereafter. <br /> <br />2 <br />
