AGREEMENT

<br />COMPUTER AIDED DISPATCH AND RECORDS NL4,NAGEMENT SYSTEM
<br />
<br />This Agreement (hereinafter "Agreement") is made as of the __ day of
<br />., 2002, by and between THE CITY OF FARGO, NORTH DAKOTA, a
<br />municipal corporation, hereinafter called "Fargo", THE CITY OF MOORtt~AD,
<br />MINNESOTA, a Mirmesota municipal corporation, hereinafter called "Moorhead", THE
<br />COUNTY OF CASS, (sometimes designated "Cass County Government" or "Cass County"), a
<br />corporate body and county under the laws of the state of North Dakota, hereinafter called "Cass
<br />County", and CLAY COUNTY, MINNESOTA, a corporate body and county under the laws of
<br />the state of Minnesota, hereinafter called "Clay County", the RED RIVER REGIONAL
<br />DISPATCH CENTER (hereinafter "RRRDC") a governmental entity created under a Joint
<br />Powers Agreement between the aforesaid entities and FM AMBULANCE SERVICES, INC., of
<br />Fargo, North Dakota (hereinafter "FM Ambulance").

<br />RECITALS:
<br />
<br /> WHEREAS, Fargo has developed a computer program pertaining to records management
<br />and computer aided dispatch which, along with the user's manual, is protected by copyright and
<br />which is installed in Fargo's computer system. [Said computer program shall be cumulatively
<br />referred to as the "Computer Aided Dispatch and Records Management System" and, when
<br />separated into two "parts" or programs shall be referred to as (1) Fargo's "Computer Aided
<br />Dispatch System", which is deemed to include Fargo's computer system that supports the
<br />programming of the system, and (2) Fargo's "Records Management System"]; and,
<br />
<br /> WIqEEREAS, Fargo, Moorhead, Cass County and Clay County have entered into a joint
<br />powers agreement for the providing of dispatch services through an organization entitled the Red
<br />River Regional Dispatch Center; and,
<br />
<br /> WHEREAS, the pmgrarraxtmg, or code, for the Computer Aided Dispatch and Records
<br />Management System is such that the Records Management System portion of the programming
<br />or code may be in,stalled into the computer systems of one or more of the parties to tiffs
<br />agreement, if such were agreeable to Fargo and the programming, or code, for the Computer
<br />Aided Dispatch System may be separately installed into the computer system of the RRRDC
<br />and, in part, into the computer system of Moorhead, Cass County and Clay County; and,
<br />
<br /> WHEREAS, RRRDC wishes to obtain access to, and to use, Fargo's Computer Aided
<br />Dispatch and Records Management System; and,
<br />
<br /> WHEREAS, Cass County has already obtained the use of Fm'go's Record's Management
<br />System through an agreement with Fargo for said purpose; and,
<br />
<br /> WHEREAS, Clay County and Moorhead wish to obtain for their use Fargo's Computer
<br />Aided Dispatch and Records Management System; and,
<br />
