10. TERMINATION. <br /> <br />The parties may terminate this agreement by mutual consent or any party <br />may terminate the agreement upon 30 days written notice delivered to the <br />other party by certified mail or in person. <br /> <br />The Commission may terminate this agreement effective upon delivery of <br />written notice to the County, or a later date as may be stated in the notice, <br />under any of the following conditions: <br />(1) If an emergency exists. <br />(2) If funding from federa[, state, or other sources is not obtained and <br /> continued at levels sufficient to provide the funds agreed upon for <br /> the services or supplies in the indicated quantities or term. The <br /> patties may modify the agreement to accommodate a reduction in <br /> funds. <br />(3) If federal or state laws or roles are modified or interpreted in a way <br /> that the services are no longer allowable or appropriate for <br /> purchase under this agreement or are no [onger eligible for the <br /> funding proposed for payments authorized by this agreement. <br />(4) If any license, permit or certificate required by law, rule, or this <br /> agreement is not obtained, denied, revoked, suspended, or not <br /> renewed. <br /> <br />Any termination of this agreement shall be without prejudice to any <br />obligations or liabilities of either party already accrued prior to <br />termination. <br /> <br />The Commission by written notice of default (including breach of <br />contract) to the County may terminate the whole or any part of this <br />agreement: <br />(1) If the County fails to provide services called for by this agreement <br /> within the time specified or any extension agreed to by <br /> the Commission; or <br />(2) If the County fails to perform any of the other provisions of this <br /> agreement, or so fails to pursue the work as to endanger <br /> performance of this agreement and after receipt of written <br /> notice from the Commission, fails to correct such l~ailures within <br /> 10 days or a longer period as the Commission authorizes. <br /> <br />The rights and remedies of any party provided in this agreement are not <br />exclusive. <br /> <br />11, MERGER. This agreement constitutes the entire agreement between the parties. <br />No waiver or modification of this agreement binds either party unless in writing and <br /> <br /> <br />
