(b) <br /> <br />(c) <br /> <br />(d) <br /> <br />(e) <br /> <br />The State and the County shall have all the rights and <br />coverages as the subcontractor under the policies. The <br />additional insured endorsement for the commercial general <br />liability policy shall be whtten on a form equivalent to the <br />ISO 1985 CG 20 10-form, or other form as approved by the <br />State and the County, and shall not limit or delete the <br />State's or the County's coverage in any way based upon the <br />State's or the County's acts or omissions. <br />The State and the County will be defended, indemnified, <br />and held harmless to the ~11 extent of any coverage <br />actually secured by the subcontractor in excess of the <br />minimum requirements set forth above. Any duty to <br />indemnify the State and the County under this agreement <br />shall not be Iimited by the insurance required in this <br />agreement. <br />The subcontractor's insurance coverage shall be primary <br />(i.e., pay first) as respects any insurance, self-insurance, or <br />self-retention maintained by the State and that any <br />insurance, self-insurance, or self-retention maintained by <br />the State and the County shall be in excess of the <br />subcontractor's insurance and shall not contribute with it. <br />The legal defense provided to the State and the County <br />under the policy and any endorsements must be free of any <br />conflicts of interest, even if retention of separate legal <br />counsel for the State or the County is necessary. <br />Cross liability/severability of interest for all policies and <br />endorsements. <br /> <br /> 7. BREACH. Violation of any provision of this agreement by the County <br />constitutes breach of this agreement. At the discretion of the Secretary, a breach <br />obligates the County to reimburse the Commission lbr all funds paid to the County for <br />the Project. At the discretion of the Secretary, breach of this agreement will also relieve <br />the Commission of all obligations under this agreement. <br /> <br />8. AGREEMENT BECOMES VOID. This agreement is void if not signed and <br />returned by the County within 60 days of the Secretary's signature. <br /> <br />9. TERM. This agreement terminates on June 30, 2003, unless extended in writing <br />and sigrmd by all parties. <br /> <br /> <br />
