If I may further reference and respond to the meeting
agenda from January 27, of this year where we discussed the following:

# 1. Provide a drcift contract for the development of construction documents...........

Response - Design Contracts were delivered for Cass County's review along with a letter from
Foss Associates that was dated February 16,2005. I have discussed with all previously
involved engineers, that being Ulteig, Obermiller/Nelson, Heyer and John Foss Engineering
their respective responsibilities and the expectations of each of them to perform in a
professional manor. They were informed of our previous meeting, which identified the
"owner requested" changes that need to be incorporated into the addition at the jail. We will
further review the intent with owner's representation before the project is constructed to
verify the approach has been satisfactory.

#2. Provide Cass County with "drcift" specifications..............

Response - As per our phone conversation of Friday the 18th of February, we agreed for the
time being to pursue a pre-quote or pre-bid approach for those systems of extreme
importance at the jail. The accepted quotes or bids will be forwarded on to the respective
prime contract bidders for inclusion in their bid number and then ultimately the successful
contractors will be responsible for work coordination, payments, warranties etc. of those
sub-bidders.

701.282.5505

810 1st Avenue North
PO Box 2823
Fargo, North Dakota 58108
Fax 701.232.5338
e-mail info@fossassociates.com
