confined to specific instances. Section 2. LOANS. No loans shall be contracted on behalf of the Corporation and no evidences of indebtedness shall be issued in its name unless authorized by a resolution of the Board of Direc- tors. Such authority may be general or confined to specific, in- stances. Section, 3. CHECKS r DRAFTS r ETC. All checks, drafts or other orders for the payment of money, notes or other evidences of , in- debtedness issued in the name of the Corporation, shall be signed 'by such officer or officers, agent or agents of the Corporation and in such manner as shall from time to time be determined by resolu- tion of the Board of Directors. Section 4 . DEPOSITS. All funds of the Corporation not otherwise employed shall be deposited from time to time to the credit of the Corporation in such banks, trust companies or other depositories as the Board of Directors may select. ' ARTICLE VI. Indemnification The Corporation shall indemnify to the fullest extent authorized or permitted by law (as now or hereafter in effect), any officer or director made or threatened to be made a party to or ,:witnessin ,', any threatened, pending, or ,coJrlpleted civil, criminal, ãdininlstrative:, àrbitration or,inves'tig'àtive 'proceeding, 'including a proceeding by ,or in the right of the Corporation by reason of the fact that such officer or director is or was a director or officer of the Corporation, or by reason of the fact that ~uch director or officer while a director or officer of the Corporation is or was serving at the request of the Corporation, or whose duties as a director or officer involve or involved service as a director, officer, partner, trustee 'or agent of another organization, against all judgments, penalties, fines, 'settlements and reasonable expenses, including attorneys' fees and disbursements. The Corporation may,' but shall not be required to indemnify agents or employees of the Corporation other than directors and officers to the fulle'st extent permitted by law as determined by the Board of Directors from time to time. The Corporation may purchase and maintain insurance on behalf of any person and such person' s official capacity against any liability asserted against and incurred by such person in or arising from that capacity whether or not the Corporation would otherwise be required to indemnify the person against the liability. 6
