NO 58102
701.364.1900
Fax 701.293.7819

RECEIVED
1 JAN - 6 2005

January 5,2005

CASS COUNTY COMMISSION

Joyce Schepp
Cass County Commission
P.O. Box 2806
Fargo, ND 58108-2806

Joyce,

I am requesting to be included on the Commission's agenda for the meeting on Monday
February 7th to review the proposed changes to the Growth Initiative Fund's Bylaws and
Memorandum of Understanding. A committee comprised of Scott Wagner, Bruce
Furness, Chuck Crary (GIF), Mary Johnson (GIF), Ann McConn (FCCEDC), Richard
Solberg (FCCEDC), and our staff worked for several months this past year to develop the
draft of Amended Bylaws. The Directors of both the GIF and F-CCEDC have formally
approved the amendment, so the m~xt step is to present the Bylaws to the commissions of
Cass County, Fargo, and West Fargo.

In addition to the proposed changes to the Bylaws, I would like to suggest formal
reappointments of the two GIF Board of Directors representing Cass County. The
updated Bylaws will now include language specifying term limits. A normal term will be
3 years but we plan to stagger terms at the beginning to allow for better alignment of term
expirations. With that stated, I would suggest Mary Johnson's reappointment for 3 years
and Mick Hammerstrom's reappointment for I year.

If I am allowed to be added to the agenda, I will then have our office send over the
Supp0l1ing materials for my presentation. The commissioners will be familiar with the
documents since I have met with all of them over the last couple months to educate them
on the proceedings. Please let me know if you need any further information regarding
my request.

Thank you,

1!ft-

Brian Walters
President

BRW/jm
