associated with the placement of a juvenile in the Facility. <br /> Section 9.04: Accountability for Funds <br /> All funds shall be accounted for according to generally accepted accounting principles <br /> and shall be subject to annual audit by the State Auditor. Clay County shall report to <br /> this Advisory Board at least annually on all receipts and disbursements related to this <br /> Agreement. <br /> ARTICLE X - Termination <br /> Section 10.01: Termination <br /> This Agreement shall terminate upon the occurrence of any one of the following events: <br /> a. When necessitated by operation of law or as a result of a decision by a court <br /> of competent jurisdiction; <br /> b. When at least 75% of the Member Counties agree, by resolution, to <br /> terminate the Agreement; <br /> c. Upon damage or destruction of the Facility, if Clay County determines <br /> that it is impractical or uneconomical to repair, restore, or rebuild the <br /> Facility; <br /> d. Upon the termination date as stated in Article III; or <br /> e. If it is no longer financially feasible for Clay County to run the Facility <br /> pursuant to the terms and conditions contained herein. <br /> Termination under (e) shall become effective six (6) months from the day Clay <br /> County gives notice of its intention to terminate hereunder. Termination under <br /> (e) is at the sole discretion of Clay County and can only occur if the facility is <br /> operating at a loss. <br /> Section 10.02: Effect of Termination; Distribution of Property <br /> Termination shall not discharge any liability incurred by Clay County or the other <br /> Member Counties prior to termination of this Agreement. Upon termination of this <br /> Agreement, Clay County shall retain all right, title, interest and ownership in the <br /> Facility and the Facility site; and Clay County shall maintain all obligation to make <br /> - 10 - <br />
