<br />7. ILO will provide to the COUNTY and DEM all interim and final reports required under <br />the program by DEM. <br /> <br />8. NDACo and NDLC will be reimbursed by ILG for the office space and administrative <br />supp0l1 necessary for the successful completion of the training at documented indirect <br />cost rates. <br /> <br />9. NDACo, NDLC, and ILG shall perform as independent entities under this agreement. <br />NDACo, NDLC, and ILG, its employees, agents or representatives are not employees of <br />the COUNTY for any purpose, including application of the Social Security Act, the Fair <br />Labor Standards Act, the Federal Insurance Contribution Act, the North Dakota <br />Unemployment Compensation Law and the North Dakota Workers' Compensation Act. <br />No part of this agreement shall be construed to represent the creation of an <br />employer/employee relationship. ILO will retain sole and absolute discretion in the <br />manner and means of carrying out ILG's activities and responsibilities under this <br />agreement, except to the extent specified in this memorandum of understanding. <br /> <br />10. NDACo, NDLC, and ILG agree to indemnify, save and hold harmless the COUNTY, <br />including its agencies, officers, and employees, from any and all claims of any nature, <br />including all costs, expenses and attorneys' fees, which may in any manner result from or <br />arise out of this agreement, except for claims resulting from or arising out of the <br />COUNTY'S negligence. <br /> <br />11. ILG shall secure and keep in force during the term of this agreement from insurance <br />companies, government self-insurance pools or government self-retention funds <br />authorized to do business in North Dakota: general liability and workers' compensation <br />insurance covering ILO for any and all claims of any nature which may in any manner <br />arise out of or result from this agreement. The limits of liability required are $250,000 <br />per person and $1,000,000 per occurrence for general liability, and statutory limits for <br />workers' compensation. <br /> <br />12. This contract for services may be modified in writing by mutual consent, and may be <br />terminated by mutual consent of all parties, or by either party upon 30 days written <br />notice. <br /> <br />13.
