4. DATA PRESERVATION AND PROPRIETARY INTEREST <br /> All data which is interpreted into a computer usable form pursuant to this agreement <br /> shall be the property of The County, and PWA agrees not to reproduce or release this data in <br /> any form or format except for purposes necessary for PWA's performance of this agreement. <br /> Upon completion of this agreement, PWA agrees to deliver data on a suitable data transfer <br /> medium to The County. The parties agree that The County is the sole owner and retains all <br /> proprietary rights as to the data referred to in this agreement. The end of this contract will <br /> occur when all goods and services are delivered for the aforementioned project, with the <br /> understanding that the same contract language may be used in the future for any additional <br /> work that The County may deem necessary. At that time, terms and conditions may be <br /> negotiated. <br /> 6. INFORMATION <br /> The County shall provide to PWA any and all information within its control that is <br /> necessary to prepare the data,training or applications called for by this agreement. <br /> 7. EQUIPMENT AND MATERIALS <br /> Except as otherwise provided herein, PWA shall provide all equipment and materials <br /> necessary and incidental to gathering and processing the information and preparing the data <br /> and GIS solutions to fit the specifications. All equipment and materials purchased or provided <br /> by PWA shall remain the property of PWA unless specifically purchased for this project with <br /> project funds dedicated to the purchase of said hardware and software. <br /> 8. PAYMENT <br /> GIS Consultant Services: <br /> Parcel Migration Services <br /> As compensation to PWA for performance under this agreement, The County agrees to <br /> reimburse PWA EIGHT THOUSAND NINE HUNDRED FORTY SIX DOLLARS AND <br /> EIGHTY EIGHT CENTS ($8,946.88) for GIS parcel migration services during the contract <br /> period stated herein. <br /> Programming Services <br /> As compensation to PWA for performance under this agreement, The County agrees to <br /> reimburse PWA SEVEN THOUSAND EIGHTY AND ZERO DOLLARS ($7,080.00) for <br /> programming services during the contract period stated herein. <br /> 9. INDEPENDENT CONTRACTOR <br /> It is agreed by the parties that at all times and for all purposes within the scope of this <br /> agreement, the relationship of PWA to The County shall be that of independent contractor and <br /> 2 <br />
