• claims settled without the prior written consent of the Lessor; <br />• claims covered by sovereign immunity; <br />• acts of intentional misconduct or negligence by the Lessee; or <br />• claims covered by other insurance. <br />Lessor represents and warrants that it currently holds, and will maintain throughout the term of <br />this Agreement, all licenses and permits necessary to the provision of the services and products <br />contemplated under this Agreement. <br />If Lessor defaults in its obligations under this Agreement, and such default is not cured within <br />30 days after written notice thereof by Lessee to Lessor, Lessee shall have, in addition to any <br />other rights available to Lessee at law or in equity, has the right to terminate this Agreement. <br />Upon the expiration or termination of this Agreement, Lessor shall immediately remove all of <br />its personal property from the premises and repair any damage caused by Lessor by such <br />removal. <br />Either party may terminate this Agreement without cause upon not less than thirty (30) days <br />prior written notice of termination. <br />Parties certify authority to enter into this Agreement. Parties further certify that there are no <br />reservations or understandings except as provided in the Agreement.
