SlNRG TECHNOLOGY SERVICES MASTER AGREEMENT FOR TECHNOLOGY SUPPORT. THIS AGREEMENT is made and entered into this _ day of . -' by and between Cass County (CLIENT) and NDACo Resources Group, Inc. (NRG), a North Dakota corporation. WHEREAS, CLIENT has determined that it has a need for the technical support services referred to in the paragraph below entitled "Scope of Services" and that these services form an appropriate basis for the expenditure of funds; and WHEREAS, NRG proposes to provide those services; NOW, THEREFORE, in consideration of the mutual undertakings and promises hereinafter set forth, the parties hereby agree as follows: I. TERM OF AGREEMENT The term of this Agreement shall be from January 1, 2009 through December 31, 2009; Either party may terminate this contract at anytime, with or without cause, by providing written notice 30 days in advance of the termination. II. SCOPE OF SERVICES NRG shall assist Client in operating and maintaining its management information and data communication systems as set forth in Exhibit A. III. COMPENSATION A. CLIENT agrees to pay to NRG the amount set forth in the attached Exhibit A, included herewith and by this reference made a part hereof. B. NRG will charge CLIENT for fees and materials as agreed upon in writing in all proposals and service offering agreements. All other services will be invoiced at NRG's standard billing rates. C. NRG shall be reimbursed by CLIENT for all reasonable out-of-pocket expenses incurred by NRG in the performance of services for CLIENT. D. All rates in this Agreement are based upon services provided during Business Hours. Services provided outside of Business Hours are subject to the following surcharge multipliers unless otherwise specified by an authorized representative of NRG in writing. Monday thru Friday: Before 8:00 am and after 5:00pm 1.5 Saturdays 2 Sundays & Holidays 2 E. There shall be added to the charges due an amount equal to all taxes based upon all services, equipment, hardware, software, freight and other applicable charges. This includes all state and local sales and use taxes based on gross revenue, and any taxes or amount in lieu thereof paid or payable by NRG in respect to the foregoing. F. CLIENT agrees to make payment in full to NRG for all amounts due according to NRG invoice(s). Should CLIENT default on any such payment(s), NRG shall have the right, without notice to CLIENT, to declare all invoice amounts due and payable in full. In the event NRG should commence any actions, or otherwise seek to enforce this agreement against CLIENT, CLIENT agrees to pay reasonable attorney's fees, court costs and other expenses incurred by NRG whether or not suit is filed. This agreement is not transferable without prior written consent of NRG. G. Late Payments: In the event that a payment is made after the terms specified by the invoice, a late payment interest charge will be assessed at the rate of 1.5% per month on all past due invoice balances.
