<br />FIRST AMENDMENT TO MASTER TOWER SITE LEASE AGREEMENT <br /> <br />This Amendment is entered into on the _ day of 2008, by and between <br />AT&T Corp., on behalf of itself and its affiliated AT&T Communications companies, <br />(hereinafter "Landlord") and Cass, County of, on behalf of itself and its affiliated <br />companies, (hereinafter "Tenant"). <br /> <br />WITNESSETH <br /> <br />WHEREAS Landlord and Tenant entered into that certain Master Tower Site Lease <br />Agreement dated April 30, 1998 for Landlord's property known as Casselton, ND, (the <br />"Property"); and <br /> <br />WHEREAS Landlord and Tenant desire to amend the Master Lease in the manner and <br />on the terms herein set forth. <br /> <br />NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency <br />of which is hereby acknowledged, Landlord and Tenant hereby agree that the Master <br />Lease be and hereby is amended as follows: <br /> <br />1. Landlord and Tenant hereby agree to extend the Term for a period often (10) years, <br />from April 30, 2008 until April 29, 2018 on the terms and conditions set forth in <br />this First Amendment, unless sooner terminated as provided in the Agreement. <br /> <br />2. Except as specifically amended hereby, all terms and conditions of the Master Lease <br />remain in full force and effect. <br /> <br />- 1 - <br />
