The NDIRF staff was introduced and once again
recognized for their efforts this past year and the NDIRF Board was thanked for successfully
leading the organization.

Darrell Lingle, partner in Eide Bailly, LLP, was then introduced to discuss the 2006 NDIRF
financial audit. Mr. Lingle provided highlights of the audit conducted and stated that, in
accordance with generally accepted accounting principles, the NDIRF was given an unqualified
(clean) opinion and that the NDIRF is in very good financial condition. A balance sheet for the
year 2006 was reviewed showing assets at $33.7 million; liabilities at $15.1 million and net assets
or members' equity at $18.6 million.

The meeting was recessed at 11 :30 a.m. so the "Cities" and "Counties" members could caucus for
election of board members. When the meeting reconvened at 11 :40 a.m., it was announced that
Shawn Kessel was re-elected tothe "Cities" category and Richard Aberle was re-elected to the
"Counties" category.

Door prizes were won by Ken Yantes and Jerome Kelsch.

There being no further business to come before the 2007 NDIRF Annual Meeting of Members, the
meeting was adjourned at 11 :47 a.m.

Respectfully submitted,

Nancy M. Reis
Recording Secretary
