6. Assignment. RRRDC, Clay County, Moorhead, and West Fargo shall be prohibited from any assignment of its interest in this Agreement to any other party. Fargo retains the right to assign, sell, transfer or convey its ownership and rights to the Computer Aided Dispatch and Records Management System, including the copyrighted computer program and user's manual, and to grant access or license for use thereof to any third party, 4, Paragraph 7 shall be amended as follows: 7. Term of Agreement and Notice to Terminate, This Agreement may be terminated, with or without cause upon agreement of all the parties, Subject to the authority of all the parties to terminate this Agreement, any party shall be authorized and allowed to withdraw from this agreement, with or without cause, upon twelve (12) months' written notice to all the other parties, As to the information and data stored with the City of Fargo's computer system, the data stored on Fargo's computers shall remain the property of the withdrawing party, as referred to in paragraph 11.1 of this agreement, from and after such withdrawal even though said data or information remains on the Fargo computer system. Fargo shall make such data and information available to the withdrawing party upon request for purposes of downloading or copying so long as such downloading or copying can be performed without damaging the integrity of the remaining information and data stored on the system and provided that the withdrawing party shall bear the costs associated with removal or copying of data for withdrawing party's purposes, The obligations for the protection of Fargo's copyright and ownership and rights to the Computer Aided Dispatch and Records Management System shall survive any such termination, 5. Paragraph 8 shall be amended as follows: 8, Authorized Use-RRRDC, Moorhead, Cass County, Clay County, West Fargo, The scope ofthis agreement, and the access granted to RRRDC, Clay County, Cass County, Moorhead, and West Fargo for RRRDC, Clay County, Moorhead, and West Fargo's use of the Computer Aided Dispatch and Records Management System, is limited to the use by said entities for appropriate law enforcement-related and public safety- related functions, RRRDC, Clay County, Cass County, Moorhead, and West Fargo shall not allow the use of the Computer Aided Dispatch and Records Management System by an other person, firm or entity including any private or public law enforcement or public safety agency or political subdivision, without the written consent of Fargo.
