<br />SECOND AMENDMENT TO AGREEMENT
<br />COMPUTER AIDED DISPATCH AND RECORDS MANAGEMENT SYSTEM
<br />
<br />THIS AMENDED AGREEMENT, made and entered into effective the
<br />day of 200_, by and between the CITY OF FARGO, NORTH DAK
<br />municipal corporation, hereinafter "Fargo", the CITY OF MOORHEAD, MINNES TA,
<br />Minnesota municipal corporation, hereinafter called "Moorhead", the COUNTY OF C SS,
<br />NORTH DAKOTA (sometimes designated "Cass County Government" or "Cass Count '), a
<br />corporate body and county under the laws of the state of North Dakota, hereinafter called' Cass
<br />County", and CLAY COUNTY, MINNESOTA, a corporate body and county under the la s of
<br />the state of Minnesota, hereinafter called "Clay County", the RED RIVER REGIO AL
<br />DISPATCH CENTER hereinafter "RRRDC", a governmental entity created under a oint
<br />Powers Agreement between the aforesaid entities and F-M AMBULANCE SERVICES, I C,
<br />of Fargo, North Dakota, hereinafter "F-M Ambulance."

<br />WITNESSETH:
<br />
<br />WHEREAS, Fargo has developed a computer program pertaining to re~ords
<br />management and computer aided dispatch which, along with the user's manual, is protectqd by
<br />copyright and which is installed in Fargo's computer system, [Said computer program sh~ll be
<br />cumulatively referred to as the "Computer Aided Dispatch and Records Management Sys em"
<br />and, when separated into two "parts" or programs, shall be referred to as (1) Fargo's "Com uter
<br />Aided Dispatch System", which is deemed to include Fargo's computer system that suppo the
<br />programming of the system, and (2) Fargo's "Records Management System"]; and,
<br />
<br />WHEREAS, Fargo, Moorhead, Cass County and Clay County previously entered i to a
<br />joint powers agreement to provide dispatch services through RRRDC and West Fargo is now
<br />joining RRRDC; and,
<br />
<br />WHEREAS, the nature of Fargo's Computer Aided Dispatch and Records Manage ent
<br />System is such that it is possible to install components of the program into the computer sys ems
<br />of other governmental units or agencies; and,
<br />
<br />
<br />WHEREAS, Fargo and Cass County entered into an Agreement (Records Manage
<br />System) on November 19,2001, a copy of which is attached hereto as Exhibit A; and
<br />
<br />WHEREAS, Fargo, Moorhead, Cass County, and Clay County entered int
<br />Agreement for "Computer Aided Dispatch and Records Management System" dated Dece
<br />9, 2002, attached hereto as Exhibit B, whereby Fargo agreed to allow RRRDC, Cass Co ty,
<br />Clay County and Moorhead access to, and use of, Fargo's Computer Aided Dispatch I and
<br />Records Management System according to certain terms and conditions stated in that Agree~ent
<br />which agreement was amended May 12, 2004, and which amendment is attached heretP as
<br />!
