<br />authorized to approve the purchase price of the Bonds, provided that the purchase price equals or <br />exceeds 98% of the principal amount of the Bonds less any portion of such principal amount <br />which represents original issue discount; the aggregate principal amount of the Bonds, provided <br />that such principal amount is not in excess of$145,000,000 (exclusive of any portion <br />representing original issue discount); the maturity schedule ofthe Bonds, provided that the <br />Bonds mature at any time or times in such amount or amounts not exceeding 40 years from the <br />date of issuance thereof; the provisions for prepayment and redemption of the Bonds prior to <br />their stated maturity; and the initial interest rates for any series of Bonds, provided that no initial <br />interest rate exceeds 6.00% per annum. Such approval for a series of Bonds shall be <br />conclusively evidenced by the execution of the Bond Purchase Agreement for such series of <br />Bonds or subseries within a series as provided herein by the County Auditor. <br /> <br />3.05. Official Statement. The County hereby consents to the distribution by the <br />Underwriter to potential purchasers of the Bonds of a Preliminary Official Statement with <br />respect to such series of Bonds in substantially the form of the Official Statement made available <br />to the Commission prior to this meeting if it is determined by the Underwriter and the Borrower <br />to be necessary to distribute a Preliminary Official Statement with respect to a series of the <br />Bonds to potential purchasers of the Bonds, and consents to the distribution by the Underwriter <br />of the Official Statement with respect to a series of the Bonds by the Underwriter to potential <br />purchasers or purchasers of the Bonds in substantially the form submitted to the Commission at <br />this meeting. The County has not and will not participate in the preparation of the Preliminary <br />Official Statement or Official Statement with respect to the Bonds and has made no independent <br />investigation with respect to the information contained therein or in the appendices thereto, and <br />the County assumes no responsibility for the sufficiency, accuracy or completeness of such <br />information. <br /> <br />3.06. Related Financings. The Bonds are expected to be issued in conjunction <br />with obligations to be issued by the Minnesota Agricultural and Economic Development Board <br />(the "Minnesota Bonds") and the Wisconsin Health and Educational Facilities Authority (the <br />"Wisconsin Bonds") to finance or refinance facilities of the Borrower and other affiliates of the <br />Borrower located in Minnesota and Wisconsin. The aggregate of the Minnesota Bonds, the <br />Wisconsin Bonds and the Bonds is not expected to exceed $430,000,000. <br /> <br />Section 4. Execution of Documents. Upon execution of the Loan Agreement, the <br />Indenture, the Joint Powers Agreement and the Bond Purchase Agreement by the other parties <br />thereto, the Chairman of the Board of County Commissioners and the County Auditor shall <br />execute the Loan Agreement, the Indenture, the Joint Powers Agreement and the Bond Purchase <br />Agreement on behalf of the County, and shall execute such other certifications, documents or <br />instruments as bond counselor counsel for the Underwriter shall require, subject to the approval <br />of the County Attorney, and all certifications, recitals and representations therein shall constitute <br />the certificates, recitals and representations of the County. Execution of any instrument or <br />document by one or more appropriate officers of the County shall constitute and be deemed the <br />conclusive evidence of the approval and authorization by the County and the Commission of the <br />instrument or document so executed.
