<br />security, unemployment insurance, or workmen's compensation, except as a self-employed <br />individual. Provider is an independent contractor. <br /> <br />PAGE 7 <br /> <br />XXIV. INDEMNITY: <br />MeritCare agrees to defend, indemnify and hold harmless Cass County, its agencies, officers and <br />employees (County), from claims resulting from the errors, acts, negligence, or omissions of <br />MeritCare or its employees and agents, including all costs, expenses and attorneys' fees, in <br />connection with the services provided by Meritcare under this Agreement. The legal defense <br />provided by MeritCare to the County under this provision must be free of any conflicts of <br />interest, even if retention of separate legal counsel for the County is necessary. Meritcare also <br />agrees to defend, indemnify, and hold the County harmless for all costs, expenses and attorneys' <br />fees incurred in establishing and litigating the indemnification coverage provided herein. The <br />obligation shall continue after the termination of this agreement. <br /> <br />XXV. INTEGRATION AND MODIFICATION: <br />This contract constitutes the entire agreement between the Provider and the CCSSB. No <br />alteration, amendment or modification in the provisions of this agreement shall be effective <br />unless it is reduced to writing, signed by the parties and attached hereto. <br /> <br />XXVI. COLLATERAL CONTRACTS: <br />Where there exists any inconsistency between this agreement and other provisions of collateral <br />contractual agreements which are made a part of this agreement by reference or otherwise, the <br />provisions of this agreement shall control. <br /> <br />XXVII. NON-DISCRIMINATION: <br />The CCSSB makes available all services and assistance without regard to race, color, national <br />origin, religion, age, sex, or handicap, and is subject to Title VI of the Civil Rights Act of 1964. <br />Section 504 ofthe Rehabilitation Act of 1975 as amended. Persons who contract with or receive <br />funds to provide services for CCSSB are obligated to abide by the provisions of these federal <br />laws.
