This transaction shall close on or before July 1, 2003 (thc <br />"Closing Date"). <br /> <br />On the Closing Date, Seller shall execute and deliver to Buyer the <br />following: <br /> <br />(0 <br /> <br />A Warranty Deed conveying the Subject Premises to Buyer, free and <br />clear of all liens, charges and ene~:_m_brances except: <br /> <br />(a) real estate taxes not yet due and payable; <br /> <br />(b) the reservation of_m.i~eral rights by anyone other than Seller; <br /> <br />(c) <br /> <br />utfli~/easements, covenants or restrictions affecting the <br />Subject Premises; <br /> <br />, (2) <br /> <br />A Bill of Sale conveying the Personal Property to Buyer free and <br />clear of any hens and enc,.m_brances, <br /> <br />(3) A FIR_PTA Certificate and 1099-S. <br /> <br />(4) <br /> <br />A customary Seller's Affidavit completed in a manner allowmg the <br />title company to remove the standard tide pohcy exceptions covered <br />thereby. <br /> <br />(5) <br /> <br />All other documems affecting title to and possession of the SubJect <br />Premises and necessary to transfer or assign the same to Buyer, free <br />and clear of all liens, charges and encumbrances <br /> <br />On the Closing Date, Buyer shall deliver to Seller cash or certified funds as <br />set forth m Section 2. <br /> <br />c) <br /> <br />The closing and dehvery of all such documents shall take place at Vogel <br />Law Firm, 502 First Avenue North, Fargo, North Dakota 58102 at such <br />reasonable location as may be agreed upon by Buyer and Seller. Seller <br />agrees to deliver physical possession of the Subject Premises and Personal <br />Property to Buyer on the Date of Closing.
